A sole proprietorship is simple but leaves your personal assets exposed. A private limited company gives you protection but comes with more formalities. A Limited Liability Partnership (LLP) sits between the two. It gives you a partnership’s flexibility with a company’s protection.

The main advantages of an LLP are limited liability for partners, separate legal status, no minimum capital, a flexible agreement, light compliance and tax-free profit share in the partners’ hands. The main drawbacks are a 30% tax rate at the LLP level, no way to issue shares or ESOPs, and restrictions on foreign investment in some sectors. Entrepreneurs planning LLP registration in India can consider this structure for professional services, startups and small businesses seeking liability protection with operational flexibility.

This guide covers what an LLP actually offers, where the tax treatment helps and where it doesn’t, the real drawbacks, and who should choose it. It is a separate legal entity, which means it can own property, sign contracts and sue or be sued in its own name. Its partners are protected from the LLP’s debts beyond what they agreed to contribute.

An LLP needs at least two partners and at least two designated partners. At least one designated partner must be resident in India, meaning someone who stays in India for 120 days or more during the financial year. The designated partner does not have to be an Indian citizen. The LLP’s name must end with “LLP”.

Advantages of an LLP in India

1. Limited Liability Protection

A partner’s liability is limited to the contribution they agreed to bring into the LLP. If the LLP takes on debt or loses a lawsuit, your house, car and savings are generally out of reach. If you contributed ₹5,00,000, that is your exposure for the LLP’s obligations.

You are also not liable for another partner’s wrongdoing or mistakes. That is a major difference from a traditional partnership, where every partner is personally liable for the firm’s debts.

One caution: limited liability is not a free pass. A partner is still liable for their own wrongful acts. If the business is run to defraud creditors, the protection can be lifted, and the people responsible can face unlimited liability.

2. Separate Legal Entity With Perpetual Succession

An LLP has its own legal identity. It can hold assets, enter agreements and own intellectual property under its name. It also continues to exist when partners change. A partner’s death, retirement or insolvency does not end the business. Your clients and bank do not have to start over each time the partner mix shifts.

3. No Minimum Capital and Low Setup Cost

There is no minimum capital requirement. You can start with whatever the partners decide to contribute. Registration is a short online process with relatively low government fees, which is why many professionals and small firms choose it. If you are ready to begin, see our LLP registration service and our checklist of documents required for LLP registration.

4. A Flexible, Agreement-Driven Structure

The LLP agreement decides how the business runs. Partners can fix any profit-sharing ratio, whether or not it matches their capital. They can set each partner’s role, voting rights, exit terms and remuneration. Remuneration to working partners is deductible for the LLP within statutory limits. We explain the limits in our guide on calculating partner’s remuneration in an LLP.

This flexibility is useful, but it also means a weak agreement creates real problems later. Draft it carefully, with legal help if you can.

5. Lighter Compliance Than a Company

An LLP has no mandatory board meetings, no AGMs and no minutes to maintain. Each year it files two forms with the Registrar: Form 11 (annual return) and Form 8 (statement of account and solvency). A statutory audit applies only if turnover exceeds ₹40 lakh or partner contribution exceeds ₹25 lakh. Small LLPs, those with contribution up to ₹25 lakh and turnover up to ₹40 lakh, also pay lower penalties for delays.

Light does not mean optional. The filings are due even if the LLP earns nothing, and late filing attracts additional fees that rise with the delay. Our guide on post-incorporation compliances for an LLP lists every deadline.

6. Tax Treatment That Avoids Double Taxation

Here is where the old version of this page went wrong, so let’s be precise.

An LLP is taxed as a firm. It pays tax on its own profits at 30%, plus a 12% surcharge if income exceeds ₹1 crore, plus 4% cess. That works out to about 31.2% for income up to ₹1 crore and about 34.94% above it.

The advantage comes after that. A partner’s share of the LLP’s profit is exempt in their hands. So profit taken out of an LLP is taxed once. In a company, profit is taxed at the company level, and the dividend is taxed again in the shareholder’s hands at their slab rate.

An illustration on ₹50 lakh of profit (rounded):

LLP: tax is about ₹15.6 lakh. The partners withdraw the rest tax-free, around ₹34.4 lakh.

Private limited company at the concessional 22% rate: tax is about ₹12.58 lakh. If the balance is paid out as dividend to a founder in the highest bracket, dividend tax of roughly 31% takes another ₹11.7 lakh or so. The combined tax is about ₹24 lakh.

If the company keeps the profit inside the business, its 25.17% effective rate is lower than the LLP’s 31.2%.

So the LLP wins when partners withdraw most of the profit each year. The company wins when profit is reinvested. Remuneration and interest to working partners are also deductible for the LLP within limits, which can reduce the LLP’s taxable profit. Note that Alternate Minimum Tax can apply to LLPs in some cases, so check with your CA.

7. No Upper Limit on Partners, and Room for Foreign Partners

An LLP needs at least two partners, with no cap on how many it can have. That compares well with a private company’s limit of 200 members. Foreign nationals and NRIs can be partners, and 100% FDI is allowed under the automatic route in sectors where it is permitted, and no FDI-linked performance conditions apply. Check your sector’s FDI rules before relying on this.

8. Eligible for Startup India Recognition

An LLP can apply for DPIIT recognition under Startup India, which opens the door to government schemes and, subject to conditions, tax benefits. Our Startup India registration service can walk you through it.

9. Name Reservation, With One Important Limit

Before incorporation, you reserve your name through RUN-LLP, and the Registrar checks that it is not identical or too similar to an existing company or LLP name. See the RUN-LLP name reservation guide and the LLP name approval guidelines.

An approved name does not make it your brand in law. It does not stop someone else from using a similar name as a trademark. To protect your brand, register a trademark.

Disadvantages of an LLP You Should Know About

No shares, no ESOPs. An LLP cannot issue equity, so venture funds and angel investors rarely invest in one. If you plan to raise equity, a company is the better route.

Higher entity-level tax rate. At about 31.2%, it is above the 25.17% effective rate a company can opt for.

FDI limits. Foreign investment is allowed only in sectors with no performance conditions.

Compliance even when idle. Form 11 and Form 8 are due every year, and late filing attracts rising additional fees.

Designated partners carry the compliance duty. Penalties for defaults can fall on them directly.

Credibility. Some large corporates, banks and tender processes still prefer companies.

LLP vs Private Limited Company vs Partnership Firm

Feature

LLP

Private Limited Company

Partnership Firm

Governing law

LLP Act, 2008

Companies Act, 2013

Indian Partnership Act, 1932

Liability

Limited to contribution

Limited to shares

Unlimited

Separate legal entity

Yes

Yes

No

Minimum members

2 partners

2 directors and 2 shareholders

2 partners

Entity tax rate

30% + surcharge + cess

22% to 25% + surcharge + cess (option-based)

30% + surcharge + cess

Profit withdrawal

Exempt in partner’s hands

Dividend taxed in shareholder’s hands

Exempt in partner’s hands

Statutory audit

Only above ₹40 lakh turnover or ₹25 lakh contribution

Mandatory

Only if tax audit applies

Equity funding and ESOPs

No

Yes

No

Board meetings and AGMs

Not required

Required

Not required

If you want to compare the two other structures in detail, see private limited company registration and partnership firm registration. Is an LLP better than a private limited company?

It depends on your plans. An LLP is lighter on compliance and tax-efficient if you withdraw profit each year. A company is better if you want to raise equity or issue ESOPs.

2. Does an LLP pay tax?

Yes. An LLP pays tax at 30% plus surcharge and cess. The partners’ share of profit is then exempt in their own hands.

3. Do partners pay tax on their share of LLP profit?

No, the profit share is exempt. Remuneration and interest paid to partners are taxable as business income, to the extent they are allowed as a deduction to the LLP.

4. Can an LLP raise funds from investors?

It can take capital contributions and loans, but it cannot issue shares. That is why most venture investors prefer companies.

5. What is the minimum number of partners in an LLP?

Two partners and two designated partners, with at least one designated partner resident in India.

6. Is an audit compulsory for an LLP?

Only if turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh. A separate tax audit applies above the Income-tax thresholds.

7. Can a foreign national be a partner in an LLP?

Yes, subject to FDI rules for the sector and the LLP’s compliance with them.

Conclusion

An LLP gives small businesses and professionals a rare mix: personal asset protection, a flexible agreement and lighter compliance. It is not perfect. The entity-level tax rate is higher than the concessional company rate, and the lack of shares limits fundraising. If you plan to run the business, share the profits and keep things simple, it is hard to beat. If outside investors are central to your plan, start with a company.

Not sure which fits?
