{"id":1078,"date":"2021-07-27T05:39:44","date_gmt":"2021-07-27T05:39:44","guid":{"rendered":"https:\/\/www.kanakkupillai.com\/new-learn?p=1078"},"modified":"2025-07-31T14:18:46","modified_gmt":"2025-07-31T08:48:46","slug":"update-on-e-form-active-inc-22a-last-date-filing-get-your-company-active-compliant","status":"publish","type":"post","link":"https:\/\/www.kanakkupillai.com\/learn\/update-on-e-form-active-inc-22a-last-date-filing-get-your-company-active-compliant\/","title":{"rendered":"Update on E-Form INC \u2013 22A Last Date Filing &#8211; Get your Company \u201cActive Compliant\u201d"},"content":{"rendered":"<p style=\"text-align: justify; font-size: 16px; line-height: 28px;\">The new e-form INC 22A, which is also known as e-Form ACTIVE (Active Company Tagging Identities and Verification), was notified as part of the Companies (Incorporation) Amendment Rules, 2019.<\/p>\n<p style=\"text-align: justify; font-size: 16px; line-height: 28px;\"><span style=\"font-size: 15px;\">In recent developments, the\u00a0<\/span><a style=\"font-size: 15px;\" href=\"http:\/\/www.mca.gov.in\/mcafoportal\/login.do\" target=\"_blank\" rel=\"noopener\">Ministry of Corporate Affairs<\/a><span style=\"font-size: 15px;\"> has received representations from the industry for the extension of INC-22A form\u2019s due date of the INC-22A form.<\/span> Especially, the start-up community has been facing many issues with uploading the external profile of the registered office, including the name plate, CIN, and registered address. Since many start-ups operate out of shared or small spaces, they are unable to put company boards on buildings, which makes it difficult for them to comply with the requirements of the E-form 22.<\/p>\n<p style=\"text-align: justify; font-size: 16px; line-height: 28px;\">In addition, a request letter has been submitted by the Institute of Company Secretaries of India (ICAI) to the Ministry of Corporate Affairs on 22nd April 2019, stating the difficulties faced by various stakeholders while filing Form INC22A-ACTIVE, such as<\/p>\n<ul style=\"text-align: justify; font-size: 16px; line-height: 28px;\">\n<li>The Auditors\u2019 details are not getting prefilled in certain cases.<\/li>\n<li>Compliance by\u00a0dormant companies.<\/li>\n<li>Companies in management disputes.<\/li>\n<li>Issues faced by a corporation having a different financial year.<\/li>\n<\/ul>\n<p style=\"text-align: justify; font-size: 16px; line-height: 28px;\">As confirmed by the Ministry of Corporate Affairs, <b>the deadline for these new disclosure forms has been extended till June 15<sup>th<\/sup> 2019,\u00a0<\/b>giving corporates more time to comply with a provision aimed at spotting shell companies.<\/p>\n<h2>E-Form Active \u2013 Get your Company \u201cActive Compliant\u201d Now!<\/h2>\n<p style=\"text-align: justify; font-size: 14px; line-height: 28px;\">In a bid to strengthen Corporate Governance and ensure all Registered Companies comply with the Ministry of Corporate Affairs\u2019 rules and regulations, the ministry has rolled out a new E-Form called E-Form ACTIVE (Active Company Tagging Identities and Verification. As per Rule 25A, this form marks a Company as \u201cActive Compliant\u201d in the records of the Ministry of Corporate Affairs.<\/p>\n<p style=\"text-align: justify; font-size: 16px; line-height: 28px;\">The Ministry has notified that every company that got incorporated on or before 31<sup>st<\/sup> December 2017 needs to file their company details and registered office particulars in the E-Form Active on their website.<\/p>\n<p style=\"text-align: justify; font-size: 16px; line-height: 28px;\">However, any companies incorporated after 31<sup>st<\/sup> December 2017 do not need to file E-Form Active. To ease the process of filing, we hereby wish to inform our readers of the details & statutory list of documents that companies will need to submit while filing the E-Form Active. The following list entails all details:<\/p>\n<ul style=\"text-align: justify; font-size: 16px; line-height: 28px;\">\n<li>Listing status of the Company<\/li>\n<li>Latitude and Longitude of the registered office (Personnel may use Google Maps to find their registered office\u2019s location)<\/li>\n<li>E-mail ID and Mobile number, wherein an OTP shall come.<\/li>\n<li>Particulars of the Directors of the Company as on date [Ensure that DIN of none of the Directors is \u201cDisqualified u\/s 164(2)\u201d or \u201cDe-activated due to non-filing of DIR-3KYC\u201d]<\/li>\n<li>Details of the statutory auditor of the Company, wherein particulars such as PAN, name, membership number of the statutory auditor and period for which the auditor is appointed shall be filled in.<\/li>\n<li>Details of the cost auditor, wherein particulars such as PAN, name, membership number of the auditor and period for which the cost auditor is appointed shall be filled in.<\/li>\n<li>Details of Managing Director, CEO and Company Secretary.<\/li>\n<li>SRNs of e-Form AOC-4, AOC-4 XBRL and MGT-7 shall be filled.<\/li>\n<\/ul>\n<p>Just like every other filing, the Ministry of Corporate Affairs has issued a due date for E-Form.<br \/>\nActive as well, which is on or before June 15th,\u00a02019. The Ministry has clarified through its notification that <strong>no fees need to be paid, provided the company files within the aforementioned due date. <\/strong>It has also shared the categories of companies that don\u2019t need to do the filing, as listed below-<\/p>\n<ul style=\"text-align: justify; font-size: 16px; line-height: 28px;\">\n<li>Companies that have been \u201c<strong>struck off\u201d<\/strong><\/li>\n<li>Companies that are \u201c<strong>in the process of striking off\u201d<\/strong>,<\/li>\n<li>Companies that are \u201c<strong>under liquidation\u201d, \u201camalgamated\u201d, or \u201cdissolved\u201d<\/strong>, as recorded in the register, shall not be required to file e-form ACTIVE.<\/li>\n<\/ul>\n<p style=\"text-align: justify; font-size: 16px; line-height: 28px;\"><strong>Furthermore, Companies that have not filed their financial statements (e-Form AOC-4), annual returns (e-Form MGT-7), or both will be restricted from filing e-Form ACTIVE. Hence,<\/strong>\u00a0<strong>every company must first complete its pending yearly filing<\/strong>.<strong>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0<\/strong><\/p>\n<p style=\"text-align: justify; font-size: 16px; line-height: 28px;\"><span style=\"box-sizing: border-box; margin: 0; padding: 0; text-align: left;\">The<strong>\u00a0photograph of the registered office showing the external building and the inside office, also showing therein at least one Director\/KMP who has affixed his\/her Digital Signature<\/strong> to this form, shall be attached to the Form.<\/span><\/p>\n<p style=\"text-align: justify; font-size: 16px; line-height: 28px;\">We wish to inform our readers about the<strong> penalty for failing to file the E-Form Active by June 15th, 2019.<\/strong><br \/>\nDue to heavy rush on the website over the past few days, you may not be able to complete the form filing successfully, resulting in a penalty of INR 10,000\/-.<\/p>\n<p style=\"text-align: justify; font-size: 16px; line-height: 28px;\"><span style=\"box-sizing: border-box; margin: 0; padding: 0; text-align: left;\">Hence, all companies should fill out the form well within the deadline date of <strong>June 15th 2019<\/strong>.<\/span><\/p>\n<p style=\"text-align: justify; font-size: 16px; line-height: 28px;\"><span style=\"font-size: 15px;\">A few essential points to remember are that in the event a company doesn\u2019t fill the form by <\/span><strong style=\"font-size: 15px;\">June 15th 2019<\/strong><span style=\"font-size: 15px;\">, it shall be marked as \u2018Active Non-Compliant\u2019 on or after June 16th 2019, and shall be liable for action under Subsection (9) of Section (12) of the Companies Incorporation Act.<\/span> Now, one might wonder, what is Section (9) of Section (12) of the Act?
