This guide covers the tax treatment of each conversion route, the conditions you must meet, and what to check before you start.

A partnership firm converting into an LLP does not normally trigger capital gains tax, provided assets are not revalued, and the partners’ rights and shares stay the same. A private or unlisted public company converting into an LLP is tax-neutral only if the Section 47(xiiib) conditions are met, including turnover up to ₹60 lakh and assets up to ₹5 crore in each of the preceding three years. An LLP converting into a company is tax-neutral under Section 47(xiii) if its conditions are met.

Businesses considering LLP registration or conversion in India should review capital gains tax, asset transfers, accumulated profits, stamp duty and applicable filing requirements with a qualified tax professional before proceeding.

Quick Summary

Converting a Limited Liability Partnership (LLP) into a company can have important income tax, capital gains, GST and stamp duty implications. The tax treatment depends on the conversion structure, the applicable provisions of law and whether the required conditions for tax relief are satisfied. Businesses should evaluate these implications before transferring assets, liabilities and ownership interests to the new company.

Review capital gains tax: Assess whether the conversion results in a taxable transfer of capital assets and whether any applicable exemption or relief is available.

Check eligibility for tax relief: Do not assume that every LLP-to-company conversion is automatically tax-neutral. The applicable statutory provisions and qualifying conditions must be reviewed carefully.

Evaluate asset and liability transfers: Review the treatment of business assets, liabilities, accumulated profits and partners’ capital accounts during the conversion.

Assess GST implications: Determine whether the transfer or restructuring of business assets triggers GST or qualifies for any applicable relief.

Consider stamp duty: Check the relevant state laws to identify potential stamp duty on the conversion and transfer or vesting of assets, including immovable property.

Plan compliance and documentation: Coordinate the required corporate filings, financial records, tax assessments and conversion documents before completing the process.

Planning to convert your LLP into a private limited company?
Get expert assistance with conversion planning, tax implications, documentation, MCA filings and applicable statutory compliance to make informed decisions for your business.

Talk to Our Experts

Tax Treatment by Conversion Route

Conversion

Tax-neutral?

Provision

Key conditions

Partnership firm into LLP

Generally yes

No specific section; settled view based on continuity

No revaluation, same partners and shares, assets and liabilities vest in the LLP

Private or unlisted public company into LLP

Only if conditions are met

Section 47(xiiib)

Turnover up to ₹60 lakh, assets up to ₹5 crore, 50% profit-share lock-in for 5 years, no payout of accumulated profit for 3 years

LLP or firm into company

Yes if conditions are met

Section 47(xiii)

Assets and liabilities vest; partners become shareholders in the same proportion as their capital accounts; 5-year lock-in

Sole proprietorship into LLP

No statutory route

None

Asset transfer may be taxable

Under the Income-tax Act, 2025, which applies from 1 April 2026, these provisions carry over with new section numbers. Commentary maps Section 47(xiiib) to Section 70(ze). Your CA should confirm the references that apply to your conversion year.

Partnership Firm Into LLP

For income tax, an LLP and a partnership firm are both treated as a “firm”. When a firm converts under Section 55 and the Second Schedule of the LLP Act, its assets and liabilities vest in the LLP by operation of law. The accepted professional view, supported by rulings, is that this is not a “transfer”, so no capital gains arise, provided:

the assets are not revalued during the conversion,

all the firm’s partners become the LLP’s partners, and

their rights and profit shares do not change.

Many websites say the ₹60 lakh turnover limit applies to firms too. It does not. That limit belongs to company conversions. Because there is no express section for firms, keep clean records showing continuity, and avoid changing the profit-sharing ratio or revaluing assets as part of the conversion.

Stamp duty is often not payable on a statutory vesting, because there is no transfer deed, but state practice varies. Check before you proceed. See conversion of an unregistered partnership into an LLP for the process.

Private Company Into LLP: Section 47(xiiib)

This is the strictest route. The conversion is not treated as a transfer, for the company and for its shareholders, only if all of these are met:

All assets and liabilities of the company become those of the LLP.

All shareholders become partners in the same proportion as their shareholding.

They receive no consideration other than their capital contribution and profit share in the LLP.

Their combined profit share is at least 50% at all times for five years from conversion.

The company’s turnover or gross receipts did not exceed ₹60 lakh in any of the three preceding years.

The book value of its assets did not exceed ₹5 crore in any of those three years.

No amount is paid out of the company’s accumulated profit to any partner for three years after conversion.

If you meet them, capital gains on the asset transfer and on the shareholders’ shares are exempt, including short-term gains on depreciable assets. The LLP can also carry forward the company’s unabsorbed losses and depreciation under Section 72A(6A), but only if the Section 47(xiiib) conditions are kept. If you break a condition later, the benefit is withdrawn and taxed in the year of the breach. MAT credit is generally not available to the LLP.

If you fail a condition, the tax position is contested. The ITAT in the Celerity Power case treated a non-qualifying conversion as a taxable transfer, but found no capital gains payable because the assets passed to the LLP at book value. The tax is recoverable from the successor LLP under Section 170. Do not plan on that outcome. Take advice before you convert.

Example. A private company has total assets of ₹3 crore and turnover of ₹40 lakh, ₹55 lakh and ₹75 lakh in the last three years. The ₹75 lakh year crosses the ₹60 lakh limit, so the exemption is not available even though assets are within the cap. It is the highest of the three years that decides eligibility, not the average.

LLP or Partnership Firm Into Private Company: Section 47(xiii)

An LLP converting to a company is treated as a firm succeeded by a company. It is tax-neutral if:

all the LLP’s assets and liabilities vest in the company,

the partners become shareholders in the same proportion as their capital accounts, and receive shares as the only consideration, and

their shareholding stays at least 50% of voting power for five years.

Courts have also held that such a conversion by statutory vesting is not a transfer even where the conditions are not fully met, but the safer path is to meet them. Legally, an LLP registers as a company under Chapter XXI of the Companies Act, 2013. Also see private limited company vs LLP before you decide.

Sole Proprietorship Into LLP

There is no conversion route from a proprietorship to an LLP. You form a new LLP and transfer the business into it. The statutory tax relief for a proprietor’s succession (Section 47(xiv)) covers companies, not LLPs, so the asset transfer can be a taxable event. Get advice before you restructure.

Tax After You Convert

Rate. An LLP pays 30% plus surcharge and cess, about 31.2% up to ₹1 crore of income. A company on the concessional regime pays about 25.17%.

Profit withdrawal. Partners’ share of profit is exempt in an LLP. Company dividends are taxed in the shareholder’s hands. See advantages and disadvantages of an LLP.

Partner payments. Remuneration is deductible within limits, and Section 194T TDS applies. See how to calculate partner’s remuneration in an LLP.

Returns. The company files its final return for the period up to conversion, and the LLP files ITR-5 from then on. The successor LLP is responsible for the earlier entity’s tax dues.

Partners’ liability. Under Section 167C, if the LLP’s tax cannot be recovered in liquidation, partners can be held jointly and severally liable unless they show no gross neglect.

Other Taxes and Costs to Check

GST. A change in constitution usually needs a fresh GST registration, and unutilised input tax credit may be transferred in Form ITC-02. Check your case.

Stamp duty. Property transferred on conversion can attract duty in some states.

PAN and TAN. The LLP gets its own. Plan the closure and cancellation of the old entity’s registrations.

Existing contracts, licences and loans. They need updating or lender consent.

Pre-Conversion Checklist

Choose the route and check eligibility under the relevant Section 47 clause.

Test turnover and assets for each of the last three years, if converting a company.

Keep the same partners and the same ratios.

Avoid revaluing assets or paying out reserves during the lock-in period.

Take CA advice on losses, MAT credit, GST and stamp duty.

Plan the filings.

Diarise the five-year and three-year periods.

Common Mistakes to Avoid

Applying the ₹60 lakh test to a partnership firm.

Looking only at the latest year’s turnover instead of all three.

Changing the profit-sharing ratio inside the five-year lock-in.

Paying a partner out of the company’s old reserves within three years.

Forgetting GST, stamp duty and licence updates.

Following a competitor’s article without checking the conversion year’s law.

Planning to Convert Your Business into an LLP?

Get expert assistance with LLP conversion, tax implications, statutory documentation, MCA filings and compliance to help ensure a smooth and legally compliant transition.

Get LLP Registration & Conversion Assistance

FAQs

Is converting a partnership firm into an LLP taxable?

Not normally. There is no express section, but the accepted view is that no capital gains arise if assets are not revalued and the partners’ rights stay the same.

Is converting a private limited company into an LLP tax-free?

Only if every Section 47(xiiib) condition is met, including turnover up to ₹60 lakh and assets up to ₹5 crore.

What is the lock-in after converting a company into an LLP?

Shareholders must keep at least 50% profit share for five years, and no accumulated profit can be paid out for three years.

Can the LLP carry forward the company’s losses?

Yes, under Section 72A(6A), if the Section 47(xiiib) conditions are met and maintained.

Is converting an LLP into a company taxable?

It is tax-neutral under Section 47(xiii) if the conditions are met, and courts have taken the view that statutory vesting is not a transfer.

Does an LLP pay income tax?

Yes, at 30% plus surcharge and cess. Partners’ share of profit is exempt.

Are LLP partners personally liable for the LLP’s tax?

Normally not, but Section 167C can make partners liable for unrecovered tax when the LLP is wound up, unless they show no gross neglect.

Is GST affected by conversion?

Usually yes. Expect a new registration and possible ITC transfer.

Conclusion

A conversion is only as tax-friendly as the conditions you keep. For a partnership firm, preserve continuity. For a company, test turnover and assets against the three-year limits before you start and respect the lock-in afterwards.
