The main objective of this company is to develop a policy of thrift and stockpile funds amongst its members. This type of company is acknowledged under section 406\u00a0 of the Companies Act, 2013, and the Nidhi Companies Rules, 2014. It also receives deposits and lends funds to its members under several conditions. The vital aim of developing Nidhi Companies is to cultivate the habit of saving funds among the members.<\/span><br \/>\n<span style=\"font-weight: 400;\">The most important rule in Nidhi Companies is, it can receive and lend funds only from or to its members. The Ministry of Corporate Affairs governs them, and the Reserve Bank of India is authorised to manage the Nidhi company\u2019s fund regulations, including deposit acceptance activities. Nevertheless, as these companies only receive or lend money from or to their members, the RBI has freed them from the core provisions or planning, regulations relevant to NNBFCs<\/span><\/p>\n<h2>Nidhi Company Registration Process<\/h2>\n<p><span style=\"font-weight: 400;\">The actual processing time for Nidhi Company Registration is about 45 days. (If any such shares had been issued already by a Nidhi Company before the outset of this Act, that particular preference shares must be redeemed in conformity with the terms of issue of the shares).<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The objective of Nidhi would be to imbibe in the members a habit of thrift and saving, and the services would only be restricted to its members.<\/span><\/li>\n<\/ul>\n<h2>Requirements for a Nidhi Company after incorporation<\/h2>\n<p>Let&#8217;s know the Requirements for a Nidhi Company after incorporation<b>. <\/b><span style=\"font-weight: 400;\">The following are the requirements that every Nidhi must possess within 12 months or one year from the commencement:<\/span><\/p>\n<ul>\n<li><span style=\"font-weight: 400;\">The Nidhi Company must have a minimum of 200 members.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The net owned funds of the company must be Rs . 10,00,000\/- or more. Net owned funds are the aggregate of the paid-up equity share capital and free reserves as appears in the latest audited balance sheet.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The Nidhi Company must also ensure that the ratio of net owned funds deposits is more than 1:20.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">It must be free from any impediment to term deposits of more than 10% of the outstanding deposits.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">If the Nidhi Company meets all the above conditions, then the Company can file NDH-1, duly certified by a Practising CA\/CS\/CW, A, with the required fees. And it can be done within 90 days from the close of the first financial year after the incorporation. If the Company is not able to meet the above requirements, Nidhi Company can apply to the Regional Director in form NDH-2 for r time extension with the required fees. And it should be done within 30 days from the close of the first financial year.<\/span><br \/>\n<span style=\"font-weight: 400;\">If Nidhi is not able to meet the above requirements, even after the second financial year, then the Nidhi Company cannot receive any funds as deposits till it abides by the provisions, and the company will be at risk for penal consequences.<\/span><\/p>\n<h2>Required Documents for Nidhi Company Registration<\/h2>\n<p><span style=\"font-weight: 400;\">While registering a Nidhi Company, you should know the Documents required for the Nidhi Company Registration. If the property is rented, then the Electricity Bill, Rent Agreement, and NOC are needed.<\/span><\/li>\n<\/ul>\n<p>Besides all the above documents, some other needed documents will be prepared by your Professional to submit to the Registrar of Companies.<\/p>\n<h2>Disadvantages\/Limitations of Nidhi Companies<\/h2>\n<p><span style=\"font-weight: 400;\">There are some disadvantages, limitations, and restrictions on Nidhi Companies under the Nidhi Rules, 2014. As per Rule 6 of Nidhi Rules, 2014, a Nidhi Company cannot:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Carry on any of the following businesses,\u00a0<\/span><\/li>\n<\/ul>\n<ol>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Hire Purchase finance,<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Chit Fund,<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Leasing Finance,<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Acquisition of Securities or Insurance provided by any corporation.<\/span><\/li>\n<\/ol>\n<ul>\n<li><span style=\"font-weight: 400;\">Issue any Preference Shares, debenture bond or any other debt payable by any form or any name.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Any Current Account with its directors, shareholders, or members.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Control any other company by purchase of securities in any manner or control its management until it gets approval after the Special Resolution taken in its general meeting, and also after getting the prior approval from the Regional Director.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Own any business other than borrowing and lending in your name. Nidhi Company, ,whicisss bound by all the provisions of Nidhi Rules, may give locker facilities based onent to its members, but the rental income should not be more than 20% of the gross income of the company at any cost.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Accepting deposits from or lending funds to a corporation is restricted.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Any Partnership Arrangement in lending or borrowing activities is restricted.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Receive any deposits from or issue funds to any person who is not on the members\u2019 list.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Pledge any of the assets lodged by the members for their security.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Any advertisement in any form for a tappina g deposit is restricted by the Nidhi rules.<\/span><\/li>\n<li style=\"font-weight: 400;\">Pay any incentive or brokerage for summoning deposits from members, for conceding loans, or for preparation of funds is strictly prohibited in Nidhi.<\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>Nidhi Company Registration &#8211; Nidhi Companies are registered under the Companies Act, 2013.
