Your nominee may become unwilling or unable to continue, or you may simply want to name someone else. Whatever the reason, the Companies Act, 2013 gives you a defined process to change your OPC’s nominee at any time during the company’s life. but, it comes with a firm filing deadline, and missing it carries a real, continuing penalty. This guide walks through who’s eligible to be named, the exact steps, the forms, the deadline, and what happens if you’re late.

If you haven’t appointed a nominee yet and want the original appointment process instead, that’s covered separately in How to Appoint a Nominee in an OPC, including nominee-vs-director distinctions and full eligibility criteria, which this page won’t repeat.

Need to change your OPC’s nominee correctly and on time?

Talk to a compliance expert

Talk to a compliance expert

Who Is a Nominee, Briefly

The nominee is the person who becomes the member of the OPC in the event of the sole member’s death or incapacity to contract, subject to the applicable legal procedure, it’s what gives an OPC continuity despite having only one owner. For the full explanation of the role, eligibility, and how it differs from a nominee director, see who can be appointed as a nominee in an OPC.

Eligibility for the New Nominee

The new nominee has to meet the same eligibility conditions as an original nominee appointment, a natural person and an Indian citizen. Residency in India is not a requirement: the Companies (Incorporation) Second Amendment Rules, 2021 changed Rule 3’s wording from “Indian citizen and resident in India” to “Indian citizen, whether resident in India or otherwise”. so an Indian citizen who is not resident in India can also be appointed as a nominee. (The rules separately still define “resident in India” – now as someone who has stayed in India for at least 120 days in the immediately preceding financial year, down from 182 days, but that definition no longer gates nominee or incorporator eligibility; it’s retained for other purposes in the rules.) A minor cannot be appointed as a nominee. The new nominee must also give written consent before the change is filed.

Common Reasons for Changing a Nominee

The current nominee withdraws their consent or becomes unwilling to continue

The nominee becomes ineligible for another reason (e.g., turns out to be a minor, or already a member/nominee of another OPC in a way that creates a conflict)

The sole member simply chooses to name someone else, for any reason a change of preference doesn’t need to be justified to the RoC beyond filing the correct forms. Note that moving abroad is not on its own a reason a nominee becomes ineligible – see the FAQ below.

Step-by-Step Process to Change the Nominee

Obtain consent from the new nominee. The proposed new nominee must provide prior written consent in Form INC-3.

Give written intimation of the nominee change to the company. The sole member may change the nominee at any time and for any reason, provided the new nominee’s prior consent has already been obtained.

Maintain the relevant records. Keep the member’s written intimation, the new nominee’s consent, and where applicable, the outgoing nominee’s withdrawal notice with the company’s records.

File Form INC-4 with the Registrar of Companies (RoC). The company must file the prescribed notice of the nominee change with the Registrar within 30 days of receiving the member’s intimation, along with the applicable fee and prescribed nominee consent/declaration requirements.

The Memorandum of Association does not need to be altered for a nominee change: Section 3 specifically provides that a change in the name of the nominee is not deemed to be an alteration of the memorandum, a position the MCA’s own INC-3 instruction material reproduces. The sole member gives written intimation of the change to the company, and the company files the prescribed notice with the Registrar in Form INC-4 that’s the complete process.

We can handle the INC-3 and INC-4 filings for you

Get it right and on time.

File Form INC-4

If the Existing Nominee Withdraws Consent

This is a distinct scenario from the member voluntarily choosing a new nominee, and it runs on its own timeline: if the existing nominee withdraws their consent, the sole member must nominate another eligible person within 15 days of receiving the withdrawal notice. The company must then file the required notice with the RoC in Form INC-4 within 30 days of receiving the withdrawal notice.

Documents and Information Typically Required

Document

Whose

PAN card

New nominee

Aadhaar / Passport / Voter ID / Driving licence

New nominee (identity + address proof)

Passport-size photograph

New nominee

Consent in Form INC-3

New nominee

Written withdrawal of consent, if applicable

Outgoing nominee

Sole member’s written intimation on record

Member

The exact documents/attachments required may depend on the current MCA form requirements and the reason for the nominee change — don’t treat this list as a fixed, MCA-mandated attachment set for every filing.

Timeline by Scenario

Situation

What Happens

Member Action

RoC Filing

Member chooses to change the nominee

New nominee is appointed

Obtain consent + give written intimation to the company

INC-4 within 30 days of the intimation

Existing nominee withdraws consent

A replacement must be appointed

Nominate a new person within 15 days of the withdrawal notice

INC-4 within 30 days of the withdrawal notice

Sole member dies or is incapacitated

Nominee becomes the member

New member nominates another nominee within 15 days

INC-4 within 30 days of the membership change

What Happens If You Miss the Filing Deadline

Filing Form INC-4 late or not at all is treated as a continuing default under the Companies Act framework governing OPCs, and it carries a penalty that increases the longer it remains unfiled, in addition to a flat penalty on the company and its officer in default. (Figures to be confirmed for this specific filing per instruction 5 above before publishing.)

Frequently Asked Questions

Is it mandatory to change the nominee if they move abroad?

Not necessarily. An Indian citizen may be a nominee whether resident in India or otherwise, so moving abroad does not, by itself, make the nominee ineligible. However, a nominee may withdraw their consent, or the sole member may choose to change the nominee for any reason in either case, the prescribed nomination and filing process must be followed.

What if the new nominee later refuses to continue?

The same process applies, the member appoints another eligible nominee, obtains fresh consent in Form INC-3, and gives written intimation to the company, which then files Form INC-4 within 30 days of that intimation.

Does changing the nominee affect the OPC’s existing registration or PAN?

No – a nominee change doesn’t alter the company’s incorporation, PAN, or CIN; it only updates who is recorded as the nominee.

What happens if there is a gap while changing the nominee?

The Rules prescribe specific timelines for replacing a nominee and notifying the Registrar. For example, where the existing nominee withdraws consent, the sole member must nominate another person within 15 days. The company should complete the prescribed RoC filing within the applicable 30-day period see the scenario table above for how the clock starts differently depending on the situation.

Is there a government fee for filing Form INC-4?

Yes, RoC filing fees apply as prescribed under the Companies (Registration Offices and Fees) Rules; the exact amount depends on the company’s authorized capital slab.

Can the same person be re-nominated after previously being removed?

There’s no bar on this in principle, provided they meet the eligibility criteria at the time of the fresh consent and filing.

Can one person be the nominee for more than one OPC at the same time?

This has its own specific rule covered in full in Can a Person Be a Nominee in More Than One OPC?

Changing your OPC’s nominee?

Get it filed correctly and on time — talk to us.

Talk to Us

A nominee isn’t a one-time formality you file at incorporation and forget – people’s circumstances change.
