A person cannot be a nominee of more than one OPC at the same time. Role and Duties of an OPC Nominee<\/h2>\n

The nominee isn\u2019t just a name on a form they\u2019re the person who steps into the sole member\u2019s position if needed, and until that happens they have no role in running the company. Before succession, the nominee\u2019s role is limited; nomination does not make them a member, shareholder or manager of the OPC.<\/p>\n

Eligibility to Be a Nominee<\/h2>\n

Two conditions apply: the person must be a natural person, at least 18 years old, and an Indian citizen. Residency in India is not a requirement the Companies (Incorporation) Second Amendment Rules, 2021 changed the eligibility wording to \u201cIndian citizen, whether resident in India or otherwise,\u201d so an Indian citizen who is not resident in India can also be a nominee. A minor cannot be a nominee.<\/p>\n

Can the Same Person Be a Nominee in More Than One OPC?<\/h2>\n

No. a person who is already a nominee in one OPC cannot simultaneously be a nominee in another. This is a separate restriction from\u00a0 but runs alongside the rule that a person can be a member of only one OPC at a time. A separate situation arises when a person who is already a member of one OPC becomes a member of another OPC by virtue of being its nominee. for example, after the death or incapacity to contract of that OPC\u2019s sole member. The person then has to comply with the one-OPC membership requirement within 180 days.
