Once, they were seen mainly as someone handling paperwork and meeting notices; the CS is now a key player in the overall functioning and success of a company. Recognised under the Companies Act, 2013, as a Key Managerial Personnel (KMP), a Company Secretary ensures that the company follows all legal rules and regulations. But their job goes beyond just compliance; they also support the board of directors in decision-making, help maintain transparency in company operations, and make sure that good corporate governance practices are followed. They act as a vital link between the company and government departments like the Ministry of Corporate Affairs (MCA), SEBI, and other regulators.<\/p>\n<p>In this blog, we will explore the meaning as well as the role of the company secretaries in companies incorporated in India.<\/p>\n<h2>Who is a Company Secretary?<\/h2>\n<p>Section 2(24) of the Companies Act, 2013, defines a company secretary as a person who is a member of the Institute of Company Secretaries of India (ICSI). The Company Secretaries Act, 1980, governs the profession, laying down the eligibility, examination, training, and membership requirements.<\/p>\n<p>To qualify, a candidate must complete three levels of ICSI examinations:<\/p>\n<ul>\n<li>Foundation,<\/li>\n<li>Executive,<\/li>\n<li>Professional \u2014 along with mandatory training programs, internships, and compliance with continuing professional education norms.<\/li>\n<\/ul>\n<h2>Mandatory Appointment<\/h2>\n<p>Section 203 of the Companies Act, 2013, along with the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014, mandates the appointment of a full-time Company Secretary in:<\/p>\n<ul>\n<li>Every listed company,<\/li>\n<li>Every public or private company having a paid-up share capital of \u20b910 crore or more.<\/li>\n<\/ul>\n<h2>Responsibilities of a Company Secretary<\/h2>\n<h3>1. Statutory Compliance and Filings<\/h3>\n<p>One of the primary roles of a Company Secretary is to ensure compliance with the Companies Act, 2013 and other applicable laws. This includes:<\/p>\n<ul>\n<li>Filing annual returns and statutory forms with the Registrar of Companies (ROC),<\/li>\n<li>Maintaining statutory registers such as the register of members, directors, charges, and contracts,<\/li>\n<li>Ensuring timely payment of regulatory fees and avoidance of penalties.<\/li>\n<\/ul>\n<h3>2. Convening and Managing Meetings<\/h3>\n<p>Company Secretaries are responsible for conducting:<\/p>\n<ul>\n<li>Board meetings,<\/li>\n<li>Committee meetings such as the Audit Committee or Nomination and Remuneration Committee,<\/li>\n<li>Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).<\/li>\n<\/ul>\n<p>They issue notices, prepare agendas, ensure quorum, draft resolutions, and maintain proper minutes in accordance with the Secretarial Standards issued by ICSI and provisions of the Companies Act, 2013.<\/p>\n<h3>3. Corporate Governance<\/h3>\n<p>The CS is often referred to as the custodian of corporate governance. They play an advisory role to the board of directors on governance matters, ensuring:<\/p>\n<ul>\n<li>Proper constitution of the board and its committees,<\/li>\n<li>Adherence to ethical business practices,<\/li>\n<li>Timely disclosures and transparency,<\/li>\n<li>Implementation of internal control systems.<\/li>\n<\/ul>\n<p>In listed companies, the CS are responsible for ensuring compliance with SEBI regulations, including those related to board independence, code of conduct, and shareholder rights.<\/p>\n<h3>4. Legal Role<\/h3>\n<p>In addition to compliance with the Company law, CSs advise the management and board on:<\/p>\n<ul>\n<li>Corporate restructuring, mergers, and acquisitions,<\/li>\n<li>Capital raising via equity or debt,<\/li>\n<li>Shareholder agreements and joint ventures,<\/li>\n<li>Drafting and vetting of contracts,<\/li>\n<li>Due diligence in corporate transactions.<\/li>\n<\/ul>\n<h3>5. Liaison with Regulatory Authorities<\/h3>\n<p>Company Secretaries act as a bridge between the company and regulatory authorities, such as:<\/p>\n<ul>\n<li>Ministry of Corporate Affairs (MCA),<\/li>\n<li>Securities and Exchange Board of India (SEBI),<\/li>\n<li>Reserve Bank of India (RBI),<\/li>\n<li>Stock exchanges.<\/li>\n<\/ul>\n<h3>6. ESG and CSR Oversight<\/h3>\n<p>With the rise of sustainability as a business imperative, CSs are increasingly involved in:<\/p>\n<ul>\n<li>Developing Corporate Social Responsibility (CSR) policies,<\/li>\n<li>Ensuring compliance with Schedule VII of the Companies Act,<\/li>\n<li>Monitoring <a href=\"https:\/\/www.kanakkupillai.com\/learn\/what-is-esg-and-why-is-it-important-for-a-business\/\">ESG<\/a> (Environmental, Social, and Governance) performance,<\/li>\n<li>Drafting disclosures related to sustainability initiatives.<\/li>\n<\/ul>\n<h2>Company Secretary in Practice<\/h2>\n<p>A CS can also choose to work independently as a Company Secretary in Practice. They offer services including:<\/p>\n<ul>\n<li><a href=\"https:\/\/www.kanakkupillai.com\/secretarial-audit\">Secretarial audits<\/a>,<\/li>\n<li><a href=\"https:\/\/www.kanakkupillai.com\/due-diligence\">Legal due diligence<\/a>,<\/li>\n<li>Certification and attestation services,<\/li>\n<li><a href=\"https:\/\/www.kanakkupillai.com\/private-limited-company-registration\">Incorporation<\/a> and <a href=\"https:\/\/www.kanakkupillai.com\/annual-compliance-of-a-private-limited-company\">compliance services for companies<\/a>,<\/li>\n<li>Representation before regulatory authorities like <a href=\"https:\/\/nclt.gov.in\/\">NCLT<\/a>, SEBI, and RBI.<\/li>\n<\/ul>\n<p>They are often retained by private and small companies that do not have an in-house CS.<\/p>\n<p>Powers, Limitations, and Liabilities<\/p>\n<p><strong>1. Liability: <\/strong><\/p>\n<p>As officers of the company and KMPs, Company Secretaries are recognised under the <a href=\"https:\/\/en.wikipedia.org\/wiki\/Companies_Act_2013\">Companies Act, 2013<\/a>, as responsible persons.\u00a0In the event of non-compliance or fraud, they can be held personally liable along with the directors. This liability makes the role both powerful and accountable.<\/p>\n<p><strong>2. Obligations and Professional Conduct: <\/strong><\/p>\n<p>ICSI lays down a Code of Conduct that CSs must adhere to. They are expected to:<\/p>\n<ul>\n<li>Maintain confidentiality,<\/li>\n<li>Avoid conflict of interest,<\/li>\n<li>Exercise due diligence and independence in their duties,<\/li>\n<li>Report fraud or violations to the appropriate authority.<\/li>\n<\/ul>\n<p><strong>3. Removal or Resignation: <\/strong><\/p>\n<p>A Company Secretary may resign voluntarily by submitting a resignation letter and completing formalities like handover and ROC filings. Similarly, the company can remove a CS by passing a board resolution and filing the necessary forms.
