Both look similar as they represent ownership of shares, but they are very different in meaning, legal value, and usage.<\/p>\n<p>In this blog, we will explain in easy and simple words what a share certificate is, what a share warrant is, and how they differ from each other.<\/p>\n<h2>What is a Share Certificate?<\/h2>\n<p>A <strong>Share Certificate<\/strong> is a legal document that a company gives to its shareholders. It shows that the person whose name is written on it owns certain shares of the company.<\/p>\n<p><strong>Features of a Share Certificate:<\/strong><\/p>\n<ol>\n<li><strong>Issued in the name of a person<\/strong> \u2013 It belongs to the person whose name is written on it.<\/li>\n<li><strong>Proof of ownership<\/strong> \u2013 It clearly shows that the person is the legal owner of the shares.<\/li>\n<li><strong>Mandatory for companies<\/strong> \u2013 Every company must issue a share certificate within a fixed time after the shares are allotted or transferred.<\/li>\n<li><strong>Transferable with process<\/strong> \u2013 If the shareholder wants to sell the shares, a legal process is followed (transfer deed or demat transfer).<\/li>\n<li><strong>Available in physical or electronic form<\/strong> \u2013 Today, most companies issue electronic certificates (demat).<\/li>\n<\/ol>\n<p><strong>Details in a Share Certificate:<\/strong><\/p>\n<ul>\n<li>Company name and address<\/li>\n<li>Name of shareholder<\/li>\n<li>Number of shares owned<\/li>\n<li>Value of each share<\/li>\n<li>Distinctive numbers of shares<\/li>\n<li>Signatures of company officials<\/li>\n<\/ul>\n<p>So, a share certificate is like an official receipt and proof that you own shares in a company.<\/p>\n<h2>What is a Share Warrant?<\/h2>\n<p>A <a href=\"https:\/\/www.kanakkupillai.com\/learn\/share-warrant\/\"><strong>Share Warrant<\/strong><\/a> is a different kind of document. It is a <strong>bearer instrument<\/strong>, which means that whoever holds it is considered the owner of the shares mentioned in it. Unlike a share certificate, it is not issued in the name of a person but to the \u201cbearer.\u201d<\/p>\n<p><strong>Features of a Share Warrant:<\/strong><\/p>\n<ol>\n<li><strong>Issued to the bearer<\/strong> \u2013 It belongs to whoever has it in hand.<\/li>\n<li><strong>Freely transferable<\/strong> \u2013 It can be sold or passed on simply by handing it over to another person. No need for any legal transfer form.<\/li>\n<li><strong>Issued only by public companies<\/strong> \u2013 Private companies cannot issue share warrants.<\/li>\n<li><strong>Needs government approval<\/strong> \u2013 In India, companies needed approval from the Central Government to issue them.<\/li>\n<li><strong>May have dividend coupons<\/strong> \u2013 A share warrant often comes with coupons. The holder can present these coupons to the company and claim dividends.<\/li>\n<li><strong>Rarely used today<\/strong> \u2013 They are almost outdated because of legal restrictions and risks of misuse.<\/li>\n<\/ol>\n<p><strong>Details in a Share Warrant:<\/strong><\/p>\n<ul>\n<li>Company name<\/li>\n<li>Number and type of shares it represents<\/li>\n<li>Value of shares<\/li>\n<li>Warrant number<\/li>\n<li>Coupons for dividends (in some cases)<\/li>\n<\/ul>\n<p>So, a share warrant is more like a negotiable instrument, something you can trade easily without much paperwork.<\/p>\n<p><strong>Legal Rules<\/strong><\/p>\n<ul>\n<li><strong>Share Certificates<\/strong> \u2013 Governed by the <a href=\"https:\/\/en.wikipedia.org\/wiki\/Companies_Act_2013\">Companies Act, 2013<\/a>. Every company limited by shares must issue share certificates within 60 days of allotment or transfer.<\/li>\n<li><strong>Share Warrants<\/strong> \u2013 Allowed under the old Companies Act, 1956. The company issued him a share certificate in his name. His name is entered in the company\u2019s records. He is a legal member and can vote in meetings, receive dividends, and sell his shares legally.<\/li>\n<li><strong>Share Warrant Example:<\/strong><br \/>\nXYZ Ltd., a public company, issues a share warrant for 500 shares. Whoever holds this warrant can claim dividend coupons and enjoy ownership rights. If the warrant is lost or stolen, the new holder will be treated as the owner, which makes it risky.<\/li>\n<\/ul>\n<h2>Which One is Important Today?<\/h2>\n<p>In the past, both documents were common. But today:<\/p>\n<ul>\n<li><strong>Share Certificates (or their electronic version, Demat)<\/strong> are the standard proof of shareholding.<\/li>\n<li><strong>Share Warrants<\/strong> are almost not used because:\n<ul>\n<li>They are risky (easy to lose or misuse).<\/li>\n<li>They hide the real owner from the company records.<\/li>\n<li>They are not allowed under the current Companies Act, 2013.<\/li>\n<li>With demat accounts, ownership is recorded safely and securely.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<h2>Conclusion<\/h2>\n<p>Both share certificates and share warrants show ownership of shares, but they are very different. A <strong>share certificate<\/strong> is issued in the name of a shareholder and is safe, legal, and still used today.
