However, for a long time, many companies managed to pay little or no tax even though they showed big profits to their shareholders. They did this by using tax incentives, deductions, and exemptions available under the law. Such companies came to be known as \u201czero-tax companies.\u201d This created an imbalance; at one point, the ordinary taxpayers were paying their share honestly, but many large companies with high profits were contributing almost nothing. To fix this gap, the government introduced the Minimum Alternate Tax (MAT).<\/p>\n<p>The idea behind MAT is simple: every profitable company should pay at least a minimum amount of tax, even if it enjoys tax benefits.<\/p>\n<h2>How MAT Came into Existence?<\/h2>\n<p>The concept of MAT was introduced in 1987 by the government of India when it inserted Section 115J of the <a href=\"https:\/\/www.indiacode.nic.in\/bitstream\/123456789\/2435\/1\/a1961-43.pdf\">Income Tax Act, 1961<\/a>. Its purpose was to make sure companies with high book profits don\u2019t completely avoid taxes.<\/p>\n<p>Later, the rules were revised:<\/p>\n<ul>\n<li>In 1991, MAT was introduced under Section 115JA with a rate of 30% of book profits.<\/li>\n<li>In 2000, the law was shifted to Section 115JB, which continues to govern MAT today with improvements from time to time.<\/li>\n<\/ul>\n<h2>What is Minimum Alternate Tax (MAT)?<\/h2>\n<p>MAT is like a backup tax system.<\/p>\n<ul>\n<li>Normally, companies calculate tax as per the income tax rules.<\/li>\n<li>But if this tax comes out to be less than 15% of their book profits, they have to pay MAT.<\/li>\n<li>Book profit means the profit a company shows in its financial statements, with some adjustments as per Section 115JB.<\/li>\n<\/ul>\n<p>MAT ensures that every company pays some tax, no matter how many exemptions or deductions it claims.<\/p>\n<h2>Who Has to Pay MAT?<\/h2>\n<p>MAT applies to:<\/p>\n<ol>\n<li><strong>All Indian companies<\/strong> (private, public, listed, unlisted).<\/li>\n<li><strong>Foreign companies<\/strong> if they earn income in India and do not get relief under tax treaties (DTAAs).<\/li>\n<\/ol>\n<p>However, some categories are exempt (explained later).<\/p>\n<h2>Current MAT Rate<\/h2>\n<p>The present MAT rate is 15% of book profit (plus surcharge and cess).<\/p>\n<h2>How is MAT calculated?<\/h2>\n<ol>\n<li><strong>Start with Net Profit<\/strong> \u2013 Take the profit as per the company\u2019s profit and loss account (prepared under the Companies Act).<\/li>\n<li><strong>Make Adjustments<\/strong> \u2013 Add back items like income tax, deferred tax, and provisions for liabilities. Deduct items like exempt income, withdrawals from reserves, etc.<\/li>\n<li><strong>Get Book Profit<\/strong> \u2013 This adjusted profit is called \u201cBook Profit.\u201d<\/li>\n<li><strong>Apply MAT Rate<\/strong> \u2013 MAT = 15% of Book Profit (plus surcharge and cess).<\/li>\n<li><strong>Compare with Normal Tax<\/strong> \u2013 If normal income tax liability is higher, MAT is ignored. If the normal tax is lower, MAT must be paid.<\/li>\n<\/ol>\n<p><strong>Example<\/strong><\/p>\n<ul>\n<li>Profit as per books = \u20b910 crore<\/li>\n<li>Book profit after adjustments = \u20b98 crore<\/li>\n<li>Normal tax liability = \u20b950 lakh<\/li>\n<li>MAT = 15% of \u20b98 crore = \u20b91.2 crore<\/li>\n<\/ul>\n<p>Since normal tax (\u20b950 lakh) < MAT (\u20b91.2 crore), the company will pay \u20b91.2 crore.<\/p>\n<h2>MAT Credit \u2013 relief for companies<\/h2>\n<p>One important feature of MAT is MAT Credit.<\/p>\n<ul>\n<li>When a company pays MAT, the extra amount (the difference between MAT and normal tax) can be carried forward.<\/li>\n<li>This credit can be used later when the company\u2019s normal tax liability becomes higher than MAT.<\/li>\n<li>The credit can be carried forward for 15 years.<\/li>\n<\/ul>\n<p>This ensures that companies are not permanently at a loss when they pay MAT.<\/p>\n<h2>Exemptions from MAT<\/h2>\n<p>Certain companies and income categories are not covered by MAT. MAT ensures they pay at least a minimum tax.<\/li>\n<li>Foreign Companies \u2013 Initially, MAT created confusion for foreign investors. Later, the government clarified exemptions under DTAA to avoid discouraging investment.<\/li>\n<li>SEZ Units and <a href=\"https:\/\/www.kanakkupillai.com\/startup-india-registration\">Startups<\/a> \u2013 MAT has reduced the benefit of tax holidays, making such incentives less attractive.<\/li>\n<li>Government \u2013 MAT has helped maintain steady tax revenue and reduce misuse of exemptions.<\/li>\n<\/ol>\n<h2>Recent Updates<\/h2>\n<ul>\n<li>MAT rate cut from 18.5% to 15% in 2019.<\/li>\n<li>MAT is not applicable to companies in IFSC if their income is earned in foreign currency.<\/li>\n<li>With the new corporate tax regime (22% for domestic companies and 15% for new manufacturing companies), MAT still exists but applies at a lower rate.<\/li>\n<\/ul>\n<h2>Criticism of MAT<\/h2>\n<p>Though MAT serves an important purpose, it is not free from criticism:<\/p>\n<ol>\n<li><strong>Takes away incentives<\/strong> \u2013 Many businesses argue that MAT reduces the benefit of tax holidays and exemptions.<\/li>\n<li><strong>Complex rules<\/strong> \u2013 Adjusting book profits under Section 115JB makes compliance complicated.<\/li>\n<li><strong>SEZ impact<\/strong> \u2013 The attractiveness of SEZs went down after MAT was applied to them.<\/li>\n<li><strong>Foreign investor concerns<\/strong> \u2013 At one stage, foreign companies feared double taxation because of MAT, though this has been resolved to an extent.<\/li>\n<\/ol>\n<h2>Conclusion<\/h2>\n<p>Minimum Alternate Tax is like a safety net in India\u2019s tax system. It ensures that every company, whether Indian or foreign, pays some amount of tax if it is profitable. It has successfully reduced the problem of \u201czero-tax companies\u201d and strengthened government revenues.
