One of the most commonly asked questions is whether it is possible to use one company registration for conducting multiple businesses or whether separate companies have to be formed for each business venture.

According to the provisions of the Companies Act, 2013, one company in the form of a Private Limited Company or another entity can conduct more than one business activity using one registration, provided that all the above-mentioned business activities are permitted under its Memorandum of Association (MoA). Moreover, there may be provisions under tax registration, such as GST, where it would be possible to conduct multiple business activities under one registration in the same state. This guide will help you understand how to conduct multiple business activities under one registration in India.

Quick Summary

Yes, a company can generally carry on multiple business activities under the same company registration, provided the activities are permitted under its Memorandum of Association (MoA) and comply with the applicable laws and regulatory requirements.

The company’s MoA and Object Clause should cover the proposed business activities.

If the existing Object Clause does not cover a new activity, the company may need to alter its MoA by passing a special resolution and completing the applicable ROC filings.

Separate licences or registrations may still be required for specific regulated activities, even when they are carried on by the same company.

Under GST, multiple business activities can generally be carried on under the same GST registration where applicable. If they do not, then the MoA has to be amended before or simultaneously with the launch of the new activity.

Board and shareholders’ approval – Directors have to approve the launch of the new activity via the adoption of the relevant board resolutions. In case of an MoA amendment, shareholders have to adopt such an amendment via special resolution. Sectoral licences and approvals – Some activities (such as financial services, healthcare, food, education, imports/exports) may need additional licences and/or registration in sectoral authorities, regardless of what is stated in the MoA. For example, an NBFC registered with the RBI is generally expected to keep financial services as its “principal business”; diversifying too heavily into unrelated activities under the same company can itself create regulatory issues with the RBI, independent of an MoA amendment. Regulated sectors like this should be checked for diversification restrictions, not just additional-licence requirements.

GST and other taxes – All business activities have to be stated in the GST and other tax registrations. Examine the current MoA

See if the object clause of the present MOA covers the new business activity.

Note: Since the Companies Act, 2013, the MoA uses a single, consolidated objects clause (per Table A of Schedule I) rather than the earlier three-tier “main objects/objects incidental or ancillary/other objects” structure under the 1956 Act. If your MoA still reflects the old format, that’s worth reviewing as part of any amendment exercise.

2. Determine if the MoA requires alteration

If it does cover, there is no need for alteration. If not, then alteration of the object clause shall be considered in Section 13.

3. Get board approval – Adopt a board resolution that:

Approves the new business activity.

Approves the alteration of the MoA (if any).

Approves holding of a general meeting and filing of relevant forms.

4. One GST Registration for Multiple Activities – It is possible for you to select multiple nature-of-business activities for your single principal place of business in the GST portal. You can include trading, manufacturing, service activities, and others in the same GSTIN under the same state.

Note: combining activities under one GSTIN isn’t the only option. Under Rule 11 of the CGST Rules, a business can instead choose to obtain separate GST registrations for distinct business verticals within the same state useful if you’d rather track compliance, ITC, and returns independently for each business line rather than consolidating everything under one GSTIN.

2. Same PAN and multiple activities – A single PAN applies to a company. All activities carried out by the company will be related to the same PAN.

3. Other places of business – If the company is running different businesses from various places in the same state, you can provide additional places of business with the same GST registration, based on portal limitations and conditions.

4. Separate verticals under one GSTIN – Whereas you have only one GSTIN for the state for the same PAN, the company can internally have codes or separate verticals for each activity for accounting and reporting purposes.

Compliance Requirements After Starting New Businesses

Segment-wise reporting is specifically governed by Ind AS 108 (Operating Segments), relevant mainly for companies preparing Ind AS financial statements, including most listed and larger unlisted companies, rather than a universal requirement for every private company running multiple verticals.

1. MoA compliance: All current and future business should comply with the MoA. In case of any new diversifications, the same procedure of modification should be followed.

2. Board and shareholder supervision:

Performance and risk of each individual business line should be regularly reviewed.

Approval of investments, borrowings and related party transactions where necessary.

3. Financial statements:

Keep proper accounting books for each separate activity.

Reporting segment-wise information in the financial statements if necessary.

4. GST returns:

Proper classification of supplies made by each activity in GST returns.

Proper input credit claims for each separate activity.

5. Filing of statutory documents:

Timely submission of annual returns, financial statements and other MCA forms.

Update licence and registration for each separate business line.

Penalties for Operating Outside the MoA

1. Ultra vires acts – If the company indulges in substantial ultra vires acts in relation to the MoA, then it will face:

Protests from the auditors and regulatory bodies.

Obstacles to contract agreements or business acts.

Governance and fiduciary duties of the directors.

2. Action by MCA and ROC – The improper or late filing of MoA modifications or resolutions may bring more fines or penalties.

3. Issues related to taxes and licences:

Inappropriate classification of businesses within GST can bring about issues or penalties.

Not having the necessary sectoral licences will cause legal consequences.

4. Business Consequences:

The inability to raise capital or sell the business.

Reputational problems with customers and investors.

Common Mistakes in Running Multiple Businesses Under One Company

Creating a business without an MoA.

Thinking that one company can undertake “anything” without changing the objects.

Failure to resolve the matter through proper resolutions by the board of directors and the shareholders.

Not filing MGT-14 for any change in the object clause.

Neglecting sectoral licenses necessary to carry out the new business.

Failure to update registrations like GST in respect of new business.

Mixing up money and accounting books of two separate companies.

Using one company for risky and less risky businesses without segregation.

Not analysing the terms of investors or loan agreements to check on diversification.

Benefits of Using One Company for Multiple Businesses

Reduced cost of incorporation and compliance compared to many companies.

Simple organisational structure.

Common infrastructure and manpower.

Easy management of internal capital among various businesses.

Common branding and identity of the company.

Ability to test a business idea before spinning it off.

Loss set-off across business lines: Since all activities are taxed as one entity’s business income, a loss from a new or underperforming vertical can generally be set off against profit from an established one in the same year, an intra-head adjustment under the Income Tax Act. Two separate companies can’t do this as freely; losses in one company generally can’t offset profits in a different company, even under common ownership. This is a real, current-year cash-tax advantage of the single-company structure that the article doesn’t currently mention.

The Trade-Off: Shared Risk Across Businesses

The same single-entity structure that enables loss set-off also means shared liability. If one business line faces a major lawsuit, a large creditor claim, or insolvency, the company’s entire balance sheet, including the assets and cash flow of your other, unrelated businesses, is exposed, since they’re all the same legal person. This is the core trade-off against a holding-subsidiary structure, where each business sits in its own company, and a failure in one doesn’t directly threaten the others. As a rough guide: businesses with materially different risk profiles (e.g., a stable consulting practice alongside a higher-risk trading or lending activity) are often better kept in separate entities, even at the cost of losing the loss set-off benefit above.

Practical Example: Adding a New Business to an Existing Company

The private limited company was registered with an MoA having objects for software development and IT services. After two years of operations, they would like to enter into an e-commerce trading business using the same company.

The following steps will be taken:

Review the MoA and discover that trading is not included.

Make a board resolution proposing the amendment of objects.

Call a general meeting and pass a special resolution for amending the objects clause.

File Form MGT-14 and the amended e-MoA with the MCA.

Amend the GST registration by including trading as a new nature of business.

Start the e-commerce vertical with the same company with different internal cost centres for software and trading.

This would make it possible for them to conduct their business using one registration.

How Can Kanakkupillai Help with Multiple Business Setup?

1. MoA and Object-Clause Review:

We review your existing Memorandum of Association to identify whether proposed new business activities are already covered.

We highlight gaps in the object clause and suggest precise wording to accommodate additional businesses.

We align the MoA review with your long-term diversification and investor plans.

2. MoA Alteration and MCA Filing Support:

We help draft the altered MoA (e-MoA) and explanatory statement for the new objects.

We coordinate board resolutions, general meeting notices and special resolutions for object-clause alteration.

We manage the filing of Form MGT-14 and linked documents with the MCA and track approval status.

3. GST and Tax Registration Alignment:

We assist in updating your GST profile to reflect multiple nature-of-business activities under one GSTIN.

We help add additional places of business or verticals where required within the same state.

We coordinate with your tax advisors to ensure correct classification of supplies and input-credit treatment for each activity.

4. Corporate Structure Advisory:

We evaluate whether one company or multiple entities better suit your risk, funding and brand strategy.

We explain holding-subsidiary structures and when they may be preferable for grouping multiple businesses.

We support implementation of the chosen structure, including new incorporations or restructuring steps.

5. Compliance Calendar and Ongoing Support:

We maintain a compliance calendar for MoA-related filings, annual returns and other MCA obligations.

We remind you of key deadlines for board meetings, shareholder approvals and statutory filings.

We provide periodic reviews to ensure new business lines remain within the authorised objects and licences.

6. Documentation and Record-Keeping:

We help prepare and organise board resolutions, shareholder resolutions and MoA documents.

We assist in updating statutory registers, minute books and internal policies for multiple business verticals.

We support the creation of internal cost centres and reporting formats to track each business line separately.

Conclusion

Indeed, a firm in India is able to establish several businesses using the same registration so long as the Memorandum of Association covers all such activities and complies with the relevant laws. In case an activity not covered by the MoA is introduced, then the firm will have to change the object clause by passing a special resolution.

Incorporating several activities into a single company may be less expensive and less complicated, but the entrepreneur needs to look at other factors such as risks.
