FiLLiP merged them into a single application, which made the process shorter and less error-prone.

It is filed with the Registrar through the MCA portal. The designated partner signs it with a Digital Signature Certificate, and a practising Chartered Accountant, Company Secretary, Cost Accountant or advocate certifies it, as Section 11 of the LLP Act requires, confirming that the incorporation requirements have been met.

FiLLiP is used only for LLPs. A company is incorporated through SPICe+ instead, so if you are still choosing between the two structures, read our comparison of private limited company vs LLP before you file.

The LLP Agreement isn’t part of it. That comes afterwards.

What the Form Covers

Details of all partners, including the designated partners.

DPIN allotment for up to two designated partners who don’t already have one. The statutory requirements are simple enough.

Two or more partners, with no cap on the number. A company or another LLP can also be a partner, and it nominates an individual to act as the designated partner.

At least two designated partners, who must be natural persons (individuals), adults, and not disqualified under the LLP Act. See who can be an LLP designated partner.

At least one designated partner who is resident in India, as per the LLP Act. Resident here means a person who has stayed in India for at least 120 days during the financial year (reduced from 182 days by the LLP (Amendment) Act, 2021).

A registered office address in India.

No minimum capital contribution required. See minimum capital required to start an LLP in Chennai.

Foreign nationals and NRIs may also serve as partners, subject to the FDI regulations applicable to the industry. In general, an LLP can take foreign investment only in sectors where 100% FDI is allowed under the automatic route without FDI-linked performance conditions, and the investment must be reported to the RBI afterwards (see FDI filing with RBI). If you are an NRI founder, please bear in mind that at least one designated partner needs to be resident in India.

Name Inside FiLLiP or Through RUN-LLP?

Both routes work, but they suit different situations. Reserving through RUN-LLP first costs ₹200 as a separate fee, and you get a decision on the name before you spend time on the rest. That matters if the name is important to the brand. Proposing the name inside FiLLiP saves a step and the separate fee, but if the name is rejected, the whole application stalls and you will need to resubmit with a new one. For a name you are attached to, the separate reservation is usually the safer route.

Whichever route you choose, the name must end with “LLP” or “Limited Liability Partnership”, must not be identical or too similar to an existing company, LLP or registered trademark, and must not use restricted words or suggest a government connection. FiLLiP allows you to propose up to two names. Check availability with our company name search and trademark search before you apply, and read the LLP name approval guidelines for the full rules. Remember that an MCA-approved name does not give you trademark rights, so if the name will be your brand, consider trademark registration as well.

Documents Required

Each designated partner needs to provide the following.

PAN for Indian citizens, or a passport for foreign nationals.

Identity proof, such as Aadhaar, voter ID, or driving licence.

Residential address proof, such as a bank statement or utility bill, not older than two months.

A passport-size photograph.

Email address and mobile number.

DIN or DPIN, if the partner already holds one. Otherwise, it is allotted through FiLLiP.

Signed consent to act as designated partner.

A Class 3 Digital Signature Certificate. It is needed at least for the designated partner who signs FiLLiP, and every designated partner will need one later for Form 3, Form 11 and Form 8.

For the LLP itself, you will need these.

Registered office proof: a rent agreement or ownership document.

An NOC from the owner, naming the LLP, if the premises are rented or not owned.

A utility bill for the premises, dated within the last two months.

The proposed name, or the RUN-LLP SRN if you’ve already reserved it.

Want the complete checklist? See our guide to the documents required for LLP registration.

Documents for Foreign Nationals and NRI Partners

A passport is mandatory, along with an identity proof where applicable.

Address proof, such as a bank statement, driving licence or residence card.

These documents must be notarised and apostilled (or consularised, depending on the country) as the LLP Rules require for documents executed outside India.

A Class 3 DSC for foreign nationals, which needs the same authenticated documents.

Step-by-Step: How to File FiLLiP

For a broader view of the incorporation journey, see the stages of LLP incorporation in India.

Step 1. Get Digital Signature Certificates

Each designated partner who will sign forms needs a Class 3 DSC. For NRIs, apostilled documents are generally needed.

Step 2. Choose the Name

You can reserve the name separately through RUN-LLP, which costs ₹200 and gives you certainty before you proceed. Or you can propose the name inside FiLLiP itself.

Step 3. Log In to the MCA V3 Portal

Go to MCA Services, then to the name reservation and LLP incorporation section, and open FiLLiP.

Step 4. Fill in the Partner and LLP Details

Enter each partner’s details, the contribution amounts, the business activity, and the registered office address. If you have reserved the name, quote the RUN-LLP SRN. Declare a realistic contribution, because it decides your fee slab.

Step 5. Attach the Documents

Upload the identity and address proofs, the registered office documents, and the NOC where applicable. Make sure names and addresses match across every document.

Step 6. Sign and Pay

The designated partner signs with a DSC, the practising professional certifies the form, and the government fee is paid online.

Step 7. Registrar Review

The Registrar examines the application. If something is wrong, you will get a query and can resubmit within the permitted time, which is 15 days for each resubmission, with the total period for resubmissions not exceeding 30 days.

Step 8. Receive the Certificate of Incorporation

On approval, you receive the Certificate of Incorporation with your LLPIN. PAN and TAN are allotted where you applied for them. Check every detail on the certificate as soon as it arrives, because the 30-day clock for Form 3 starts from the date of incorporation.

In Case the Registrar Rejects or Questions the Application

If there is a question on the application, it does not mean that the process will end here. The Registrar explains what needs to be changed, and you make the corrections and submit your application again. You have 15 days for each resubmission, and all resubmissions together cannot go beyond 30 days. If you miss the window, the application can be rejected, and you may have to file afresh.

The most common reasons for a query may be different names in different documents, an expired utility bill, no NOC that contains the name of the LLP, or a name similar to another one.

Common Query

How to Fix It

Name or address differs between PAN, ID proof and address proof

Match the spelling and address exactly across every document before uploading.

Utility bill older than two months or unclear

Upload the latest bill as a clear scan. That’s a separate step, and many founders miss it.

The LLP Agreement must be executed on stamp paper and filed with the Registrar in Form 3 within 30 days of incorporation, under Section 23 of the LLP Act. If you miss the date, an additional fee applies. Since 1 April 2022, this is not a flat per-day charge. It is calculated as a multiple of the normal filing fee and rises with the length of the delay. Today, a practising advocate, CA, CS or cost accountant must certify FiLLiP. If you are a CA, CS, architect or agency owner, also read LLP for consultants and professionals.

Example

Two consultants decide to start an LLP. They get DSCs, reserve their name through RUN-LLP, and file FiLLiP with their identity proofs and a rented office with an NOC naming the LLP. The Registrar approves within a week, and they receive the Certificate of Incorporation. They then sign a detailed LLP Agreement on stamp paper and file Form 3 within the 30-day window, so profit sharing follows what they agreed, not the default rule.

How Kanakkupillai Can Assist

Kanakkupillai takes care of the entire LLP registration process, from the creation of DSCs, name reservation, all the way to FiLLiP and the Certificate of Incorporation. We will prepare your LLP Agreement and file Form 3 on time, thereby ensuring the terms of your partnership are well documented. Kanakkupillai is a Chennai-based legal and compliance services company with 19+ years of experience in business compliance and has served 1 lakh+ customers.

Our LLP registration package includes:

DSC for 2 designated partners (2-year validity)

DPIN for 2 designated partners

Name approval for the LLP

Preparation of the LLP Agreement

Incorporation of the LLP through FiLLiP

Form 3 filing

PAN and TAN for the LLP

Current account opening support

Since a practising professional must certify FiLLiP anyway, filing it entirely on your own is rarely a true DIY exercise. Letting an expert handle it also cuts the risk of a resubmission. If you later decide to change structure, we also handle conversion of a partnership firm to LLP and conversion of LLP to a private limited company.

Conclusion

FiLLiP is the form that gives effect to the idea in reality, and getting it filed correctly is more about preparation: getting the right paperwork, a resident designated partner, a unique name, and clean office evidence. The clock starts ticking upon receipt of the certificate, and you have 30 days to finalise the LLP Agreement and file Form 3.

Need Help with LLP Incorporation and FiLLiP Filing?

Get professional assistance with LLP name reservation, partner documentation, DPIN requirements, FiLLiP filing and post-incorporation Form 3 compliance to help complete your LLP registration accurately.

Get LLP Registration Assistance

Frequently Asked Questions

1. What is the full form of FiLLiP?

FiLLiP stands for Form for Incorporation of Limited Liability Partnership. It’s the integrated MCA e-form used to incorporate a new LLP in India.

2. Do I need to reserve the name separately before filing FiLLiP?

Not necessarily. You can reserve the name through RUN-LLP first for certainty, or propose it within FiLLiP itself. Reserving separately gives you a name decision before you invest time in the rest of the application.

3. Does FiLLiP include DPIN allotment?

Yes, for up to two designated partners who do not already have one, without a separate government fee. If you have more than two designated partners who need a DPIN, the others apply separately.

4. When must the LLP Agreement be filed?

In Form 3, within 30 days of the date of incorporation. If you are late, an additional fee applies, calculated as a multiple of the normal fee based on the length of delay. Without an agreement, the default provisions of the LLP Act apply.

5. How long does LLP incorporation through FiLLiP take?

Approval commonly takes about 5 to 7 working days after filing if the documents are clean. Overall, including DSCs and name approval, expect roughly 7 to 15 working days.

6. What is the government fee for FiLLiP?

It depends on the total contribution: ₹500 up to ₹1 lakh, ₹2,000 up to ₹5 lakh, ₹4,000 up to ₹10 lakh and ₹5,000 above ₹10 lakh. RUN-LLP costs ₹200 separately, and DPIN, PAN and TAN have no extra government fee.

7. Who certifies the FiLLiP form?

A practising Chartered Accountant, Company Secretary, Cost Accountant or advocate certifies the incorporation requirements, and a designated partner signs with a DSC. The Corporate Laws (Amendment) Bill, 2026 proposes to make this certification optional, but it is not yet law.

8. Who counts as a resident designated partner?

A designated partner who has stayed in India for at least 120 days during the financial year. At least one of your designated partners must meet this test.

9. Is FiLLiP the same as SPICe+?

No. FiLLiP is used to incorporate an LLP, while SPICe+ is used to incorporate a company. See our comparison of a private limited company vs LLP to choose between them.

10. Do I need to file Form 4 after FiLLiP?

No. Partners and designated partners named in FiLLiP are recorded at incorporation. Form 4 is needed only for later changes, within 30 days.

11. Which ROC handles FiLLiP for a Chennai registered office?

ROC Chennai, at Shastri Bhawan, Haddows Road, Chennai. Districts under the Coimbatore division, such as Coimbatore, Tiruppur, Erode and Salem, fall under ROC Coimbatore.

12. What is the stamp duty on an LLP Agreement in Tamil Nadu?

It is ₹1,000 under Article 46-A(b) at the rate applicable since May 2024. Many older guides still quote lower figures, so confirm the current rate before you sign.

While registering an LLP in India, FiLLiP is the form through which the LLP is registered.
