The proposed amendments aim to simplify company incorporation procedures, reduce repetitive documentation and improve the ease of doing business in India.

The proposals cover several aspects of the corporate lifecycle, including company name approval, subscriber documentation, Director Identification Number (DIN) allotment, registered office requirements, company conversions and regulatory filings.

These changes are particularly relevant for entrepreneurs planning to establish a Private Limited Company, Public Limited Company, One Person Company (OPC) or Section 8 Company. Although some proposals directly concern incorporation, others relate to changes and compliance requirements that companies may encounter after registration.

The MCA issued the draft notification on 8 April 2026 and invited stakeholder comments until 9 May 2026. Therefore, the proposed provisions should be distinguished from amendments that have formally come into force. As of early November 2026, we have not found a final notification in the Official Gazette, so the existing Companies (Incorporation) Rules, 2014 and the current MCA forms continue to apply. Check the MCA website for the latest status before you act on any of these proposals.

Planning to incorporate now? Consolidation of Existing MCA Forms

One of the major proposals is the consolidation of several existing MCA forms into two electronic forms: E-CHNG and E-CON.

The objective is to reduce multiple filings and simplify procedures for companies undertaking changes or seeking regulatory approvals.

Proposed Form

Existing Forms Proposed to Be Consolidated

Purpose

E-CHNG

INC-4, INC-22, INC-23 and INC-24

Changes relating to company details, registered office and name

E-CON

INC-6, INC-12, INC-18, INC-20, INC-27, RD-1 and INC-28

Conversions, approvals and related orders

Under the proposed framework, E-CHNG would cover specified company changes, while E-CON would deal with various conversion and approval-related matters.

What does this mean for companies?

Companies may benefit from a more organised filing process instead of navigating multiple separate forms for different corporate changes.

For newly incorporated businesses, these proposals are relevant to future requirements such as a change of registered office, a company name change, or converting the corporate structure, for example, OPC to private company, private to public company or private company to OPC. Until E-CHNG and E-CON are notified and live on the MCA portal, continue to use the existing forms.

2. Clearer Rules for Company Name Approval

The draft proposes revisions to Rule 8 and Rule 8A of the Companies (Incorporation) Rules, 2014 to provide greater clarity regarding company name approval.

Rule 8 deals with names resembling existing companies or LLPs, while Rule 8A addresses undesirable names, including certain trademark-related conflicts.

The proposed criteria consider differences that may not be sufficient to distinguish two company names, including:

Differences in punctuation, spacing and capitalisation.

Singular and plural forms of words.

Minor spelling and grammatical variations.

Abbreviations and shortened forms.

Differences in word order and certain additional words or numerals.

The proposed changes also seek to clarify when an existing trademark may create an objection to a proposed company name.

Why is this important for entrepreneurs?

Founders should assess company name availability and potential trademark conflicts before submitting an incorporation application. Run our company name search and trademark search first.

MCA name approval and trademark registration are separate processes. Approval of a company name does not automatically provide trademark protection or guarantee that another trademark owner will not raise an objection. If the name is your brand, consider trademark registration as well.

3. Option to Withdraw a Reserved Company Name

The draft proposes introducing Rule 9A, which would allow applicants to withdraw a reserved company name before filing the incorporation application or an application for a change of name.

The proposed withdrawal facility would be available through a web service on the MCA21 portal.

For example, an entrepreneur may reserve a company name but later decide to adopt a different business identity. The proposed mechanism would provide an option to withdraw the reserved name rather than simply waiting for its reservation period to expire.

However, withdrawal would not guarantee approval of another proposed name. The replacement name would still need to satisfy the applicable naming requirements.

4. Simplification of Subscriber KYC Documentation

The proposed amendments to Rule 16 aim to rationalise the identity and residential address documents required from subscribers to the Memorandum of Association (MoA).

The draft identifies the following documents:

Subscriber Category

Proposed Identity Proof

Indian nationals

PAN Card or Aadhaar Card

Foreign nationals

Passport

For residential address verification, the proposed documents include bank statements, property tax receipts, Aadhaar and utility bills such as electricity, telephone, mobile, water and gas bills.

Certain utility bills and bank statements must not be more than three months old.

The draft also proposes that subscribers who already hold a valid DIN with updated particulars may not need to attach separate identity and residential address proofs.

Impact on new companies: This could reduce repetitive documentation for founders, shareholders and subscribers, particularly those whose details are already available in MCA records. Subscribers who will also act as directors still need a Digital Signature Certificate, so keep it ready.

5. Removal of Separate DIR-12 Filing for First Directors

The draft proposes omitting Rule 17, which deals with the particulars and consent of first directors.

Currently, director information and consent are captured during the incorporation process. The proposed amendment seeks to eliminate the separate DIR-12 filing requirement for first directors at incorporation where the relevant particulars are already provided through SPICe+.

This could reduce duplicate disclosures and simplify incorporation documentation.

However, the proposed change does not remove the requirement to appoint eligible directors or comply with the director-related provisions of the Companies Act, 2013. The proposal concerns first directors at incorporation only, so DIR-12 would continue to apply to later changes.

6. Increase in DIN Application Limit from Three to Five Directors

Another important proposal concerns the allotment of Director Identification Numbers.

The draft proposes increasing the maximum number of directors for whom DIN applications can be made through the incorporation process from three to five.

Particulars

Existing Framework

Proposed Framework

Maximum DIN applications during incorporation

3 directors

5 directors

The draft also proposes changes to the consent mechanism:

Individuals subscribing to the Memorandum and proposed to act as directors would be treated as having provided deemed consent.

Other proposed directors could provide consent through OTP-based authentication.

Where OTP authentication is not used, consent could be submitted through Form DIR-2.

What is the practical benefit?

Companies with multiple founders or initial directors may find incorporation more convenient because DIN applications for up to five directors could be processed through the incorporation route. Directors who already hold a DIN are not affected, and every DIN holder must continue to file the annual DIR-3 KYC.

7. More Flexibility in Registered Office Documentation

Every company must maintain a registered office under Section 12 of the Companies Act, 2013.

The proposed changes to Rule 25 seek to clarify the documents required for different types of registered office arrangements.

Premises Category

Examples of Supporting Documents

Owned premises

Title deed, property tax receipt or municipal records

Rented premises

Rent or lease documentation

Co-working spaces

Allocation letter, payment receipt or relevant authorisation

SEZ premises

Relevant allocation and supporting documents

How will this help startups?

Many startups operate from rented offices and co-working spaces rather than independently owned commercial premises. The proposed clarification could make it easier for such businesses to establish their registered office by providing greater clarity on acceptable supporting documents. A virtual office arrangement is another route for founders without premises, as long as the documents are in order. Risk-Based Physical Verification of Registered Offices

The draft also proposes changes to Rule 25B concerning physical verification of registered offices.

The proposed framework aims to introduce a more flexible, risk-based verification mechanism.

The proposed procedure includes:

Verification by an authorised person.

Presence of two local witnesses.

Assistance from local police, where required.

Examination of available information and supporting documents.

The objective is to make verification more targeted while retaining regulatory oversight.

For new companies, maintaining accurate registered office details and valid supporting documents will remain important. The proposal does not remove the responsibility to maintain a genuine and functional registered office.

9. Optional EPFO, ESIC and Bank Account Applications through AGILE-PRO-S

The proposed changes to Rule 38A concern AGILE-PRO-S (Form INC-35), which facilitates applications for certain registrations and services during company incorporation.

The draft proposes making EPFO, ESIC and bank account applications through this route optional.

Registration or Service

Proposed Treatment

GST registration

Subject to applicable GST requirements. Companies must still obtain registration whenever the relevant legal requirements become applicable. Once registered, employers file monthly returns, see PF return filing and ESI return filing.

Similarly, GST registration requirements will continue to depend on the nature of business activities and applicable GST provisions.

10. Simplification of Section 8 Company Requirements

The draft proposes certain changes relating to Section 8 companies, which are established for permitted objectives such as education, charity, science, art, sports, social welfare and environmental protection.

The proposed changes include:

Removing the requirement to separately attach the Memorandum and Articles of Association with the licence application.

Removing the requirement to submit estimates of future income and expenditure.

Allowing conversion of a Section 8 company limited by guarantee into a Section 8 company limited by shares, subject to applicable conditions.

These proposals could reduce documentation requirements and provide greater structural flexibility to organisations operating under Section 8. See our Section 8 company registration, NGO registration and Section 8 company compliance services.

However, the fundamental conditions governing Section 8 companies, including restrictions on dividend distribution and application of profits towards their objectives, would continue to apply.

11. New Provision for Deceased Subscribers

The draft proposes introducing Rule 23B to address situations where a subscriber dies before paying the amount due on shares subscribed during incorporation.

Under the proposed provision, the legal representative of the deceased subscriber would be responsible for paying the unpaid subscription amount.

After payment, the legal representative would assume the rights and obligations associated with the original subscription.

The proposal applies to companies other than One Person Companies.

This provision seeks to clarify responsibility for unpaid subscription amounts and the position of legal representatives.

12. Changes in Public Notice and Registered Office Shifting Procedures

The draft also proposes amendments to Rules 22, 28 and 30 concerning certain company conversion and registered office shifting procedures.

The proposed changes include:

Replacing registered post with speed post for specified notices.

Allowing electronic communication through email in specified circumstances.

Revising the timeline for issuing certain public notices to not more than 15 days before filing the relevant application.

Providing certain relaxations for shifting registered offices from one state to another, subject to prescribed conditions.

The draft also addresses specific situations involving pending inquiries, inspections, investigations and insolvency resolution proceedings.

These proposals aim to simplify procedural requirements while retaining regulatory safeguards.

Which Companies Are Affected by the Draft Rules?

Type of Entity

Relevant Proposals

Private Limited Company

Name criteria, name withdrawal, subscriber KYC, DIN for 5 directors, registered office documents, optional AGILE-PRO-S registrations, E-CHNG and E-CON

Public Limited Company

The same incorporation proposals, plus E-CON for conversion matters and E-CHNG for changes

One Person Company

E-CHNG covers change of member or nominee (INC-4), and E-CON covers conversions. Under the draft, these filings would be made through E-CHNG and E-CON instead of separate forms, but the offices handling them would not change. For the current process, see our guide to private limited company registration in Chennai.

Three proposals are worth watching if you are starting up in Tamil Nadu.

Co-working and shared offices: Chennai has a large startup base operating from co-working spaces on OMR, in Guindy and in the city centre. Clear document rules for co-working premises could make registered office proof easier for them.

Address proof: the draft adds water and gas bills and property tax receipts as address proof. For Chennai founders, a Metrowater bill or a Greater Chennai Corporation property tax receipt could become usable as residential proof once the rules are final.

State registrations: Profession Tax and Shops and Establishment depend on state rules. Tamil Nadu founders should continue to check the state requirements for these.

When Will the Draft Rules Come into Force?

The draft rules take effect only when the final notification is published in the Official Gazette. After the comment period closed on 9 May 2026, the MCA reviews the feedback and may change the proposals. No commencement date has been announced, and the new forms must also be activated on the MCA portal. Until then, the existing forms and rules apply. These draft rules are separate from the Corporate Laws (Amendment) Bill, 2026, whose status you can track on the PRS India bill tracker.

Common Mistakes to Avoid

Treating the draft as if it were already law. Several websites describe the changes as if they are in force.

Assuming that five DINs are now available. Until notified, only three DIN applications can be made through SPICe+.

Assuming that EPFO and ESIC registration is no longer required. Only the option to apply through AGILE-PRO-S is proposed.

Assuming that MCA name approval protects the name as a trademark.

Assuming DIR-12 is gone for good. It would be dropped only for the first directors at incorporation.

Waiting for the new rules before incorporating. Filing under the current rules is valid, and a delay can cost you business.

What Should Entrepreneurs Do Before Incorporating a Company?

Entrepreneurs should understand the proposed changes but continue following the existing legal requirements until the amendments are officially notified.

Before incorporating a company, consider the following:

Select the appropriate structure: Determine whether a Private Limited Company, Public Limited Company, OPC or Section 8 Company suits your business objectives.

Assess the proposed name: Check MCA name availability through our company name search and potential trademark conflicts through our trademark search.

Prepare subscriber documents: Arrange identity proof, address proof and subscription details.

Confirm director eligibility: Identify proposed directors and assess their DIN and consent requirements.

Arrange registered office documents: Ensure that ownership, rental or co-working documentation is available.

Identify applicable registrations: Assess GST, EPFO, ESIC, Udyam and other registrations based on business activities.

Monitor MCA notifications: Check the Official Gazette and MCA portal for final amendments and revised filing requirements.

How Kanakkupillai Can Help

Kanakkupillai is a Chennai-headquartered legal and compliance services company with 19+ years of experience and 1 lakh+ customers served. From consolidated MCA forms and revised name examination criteria to simplified KYC documentation, additional DIN applications and flexible registered office requirements, the proposals address several practical challenges faced by entrepreneurs.

However, their actual impact will depend on the final notification, commencement provisions and implementation of revised MCA forms. Until then, businesses should continue complying with the existing Companies Act, 2013 and the Companies (Incorporation) Rules, 2014.

Planning to Register a New Company in India?

Get professional assistance with company name reservation, incorporation documents, SPICe+ filing, DIN requirements and post-incorporation compliance. What are the Companies (Incorporation) Amendment Rules, 2026?

These are proposed amendments to the Companies (Incorporation) Rules, 2014, intended to simplify company incorporation, reduce documentation and streamline corporate filings.

2. Are the Companies (Incorporation) Amendment Rules, 2026 in force?

No, not as of early November 2026, according to our check. The MCA issued a draft notification on 8 April 2026 and invited comments until 9 May 2026. The draft itself does not bring the proposed changes into force. Implementation requires final notification in the Official Gazette.

3. What are E-CHNG and E-CON forms?

They are proposed consolidated MCA forms. E-CHNG would cover specified company changes, while E-CON would deal with conversions, approvals and related orders.

4. Will the DIN limit increase from three to five directors?

The draft proposes increasing the number of DIN applications permitted through the incorporation process from three to five directors. Until the rules are notified, the limit remains three.

5. Will EPFO and ESIC registration become optional?

Applications through AGILE-PRO-S are proposed to become optional. However, registration obligations under applicable laws will continue.

6. Do I need to change anything in my company now?

No. Continue to use the existing forms, such as INC-22 and INC-24, and the current incorporation process until the final rules are notified and the new forms go live.

7. Will DIR-12 still be needed?

The draft proposes to remove the separate DIR-12 only for first directors at incorporation, where their particulars are already given through SPICe+. Later appointments and changes would continue to follow the director-related provisions.

8. Does MCA name approval give me trademark rights?

No. Company name approval and trademark registration are separate processes. A name approved by the MCA can still face a trademark objection, so check both before you apply.

9. Will a co-working space be accepted as a registered office?

The draft proposes clearer document rules for co-working spaces, such as an allocation letter or payment receipt. The company must still maintain a genuine registered office.

10. Do the draft rules apply to LLPs?

No. The draft amends the Companies (Incorporation) Rules, 2014 and covers companies. LLPs are incorporated through FiLLiP under the LLP Act.

11. Where can I read the draft rules?

The draft notification and public notice dated 8 April 2026 are on the MCA website under public notices. Always check the Official Gazette for the final text.

The Ministry of Corporate Affairs (MCA) has proposed significant changes to the Companies
