According to the Indian Partnership Act, 1932, a partnership firm comes into existence when individuals agree to conduct a business with the objective of profit. A partnership needs at least two partners and can have at most 50. A partnership can legally be oral, but a written deed is strongly advised, and stamp duty applies only to a written deed.

The key features of a good deed include:

Name and address of the firm.

Name, address, and occupation of the partners.

Nature and location of the business.

Date of start of the business, and the duration if it is for a fixed term.

Capital contribution by all partners.

Sharing of profit and loss among partners.

Duties, powers, and remuneration of the partners.

Banking procedure and signing authority.

Interest on capital, drawings, and loans.

Admission, retirement, expulsion, and death of the partners.

Terms and conditions for dispute resolution and dissolution.

Such an agreement prevents conflicts and helps immensely while registering the firm, opening a bank account, registering for GST, and dealing with lenders. It also matters for tax. A firm can claim a deduction for interest on capital and partners’ remuneration only if the deed authorises them, and only within the limits of the Income Tax Act. Remuneration and interest clauses should therefore be written into the deed.

Need a legally strong partnership deed? The Act is a central law, and states have their own schedules and amendments, so the rate depends on the state where the instrument is executed. Stamp duty is separate from registration, which is governed by the Registration Act, 1908.

It is important that a deed is appropriately stamped because:

The deed may not be admitted as evidence in a case until the duty and penalty are paid.

Deficit stamp duty and penalty may be levied by the authority.

An unstamped or under-stamped deed raises doubt among banks, investors, and authorities.

The registration process of the partnership firm may be hindered.

Disputes arising in the future among partners become difficult to prove.

The Registration Department of Tamil Nadu charges stamp duty and registration fees under the Indian Stamp Act, 1899 (as amended in Tamil Nadu) and the Registration Act, 1908, respectively.

Partnership Deed Stamp Duty in Tamil Nadu

In Tamil Nadu, the stamp duty for a partnership deed depends on the partnership capital:

Partnership Capital

Stamp Duty

Registration Fee

Capital not exceeding ₹500

₹50

1%

Any other case

₹1,000 (earlier ₹300)

1%

The Tamil Nadu e-Governance stamp duty schedule shows ₹50 for a partnership deed where the capital is not more than ₹500, and ₹1,000 for all other cases, with a registration fee of 1%. The increase from ₹300 to ₹1,000 came through the Indian Stamp (Tamil Nadu Amendment) Act, 2023, which took effect on 3 May 2024. If you see ₹300 on another website or on old stamp paper guides, it is out of date.

Important Tamil Nadu points

Registration fee is computed at 1% of the amount or value, as the case may be, up to the relevant maximum as prescribed. It applies when the deed is registered as a document. Registering the document is optional unless immovable property is brought in as capital.

Tamil Nadu recognises electronic stamping along with online payments by net banking, credit cards, debit cards, and UPI through the Registration Department systems.

The TNREGINET website of the Department offers services for stamp duty valuation, guideline search, application preparation, and draft deed abstracts.

Make sure you check the updated fee rate on TNREGINET or with the concerned Sub-Registrar before signing the deed.

The same ₹1,000 rate applies to an LLP agreement in Tamil Nadu. The Registrar of Firms in Tamil Nadu is the District Registrar (Administration).

There are two different registrations, and they are often confused:

Registration of the firm with the Registrar of Firms under the Partnership Act. This gives the firm an entry in the Register of Firms and a certificate.

Registration of the deed as a document under the Registration Act, 1908. This attracts the 1% registration fee in the Tamil Nadu schedule. It is compulsory only if immovable property is contributed to the firm.

Though registration of the firm is not mandatory immediately upon formation of the partnership, as per Tamil Nadu Government publications, registration is needed in order to enforce legal rights, and any change in the constitution of the firm must be registered. Under Section 69 of the Partnership Act, an unregistered firm, or its partners, generally cannot file a suit against third parties or other partners to enforce rights arising from a contract, though they can still be sued. Unregistered firms also face difficulty with banks and tenders.

Where the firm can file

The registration application is filed with the Registrar of Firms having jurisdiction over the principal place of business of the firm. In Tamil Nadu, the District Registrars (Administration) are the registering authorities. Chennai has more than one registration district, so use the one that covers your principal place of business.

Documents to be filed

Generally, the firm files the following:

Application form prescribed under the Act (Form 1).

Copy of the partnership deed certified by the firm.

Evidence of the principal place of business of the firm.

Details of all partners and their consent.

Registration fees prescribed.

On verification, the Registrar registers the firm in the Register of Firms.

Read more in our guides partnership firm name rules and how to check partnership firm registration status online.

Stamp Duty for Partnership Deeds in Other Indian States

The stamp duties applicable to a partnership deed differ significantly, since states have amended the Indian Stamp Act or passed their own stamp Acts.

Maharashtra

According to the Maharashtra Stamp Act, 1958, the stamp duty applicable to an instrument of partnership depends on the amount of cash contribution:

₹500 where there is no cash contribution or the cash contribution does not exceed ₹50,000.

1% of the cash contribution where the cash contribution exceeds ₹50,000, provided that the maximum stamp duty shall not exceed ₹50,000. The cap was ₹15,000 until it was raised in October 2024.

The stamp duty for a contribution by property differs from the above.

Karnataka

Under the Karnataka Stamp Act, 1957, recent state-wise compilations show a flat ₹2,000 on a partnership deed. Some older schedules also show ₹500 for capital up to ₹50,000, so confirm the current rate on the state’s e-stamping system before you sign. More stamp duty could be payable on reconstitution where there is immovable property of the firm.

Uttar Pradesh

According to Uttar Pradesh Schedule I-B, if the capital is up to ₹10,000, an instrument of partnership is chargeable at the same duty rate as a bond for that amount. Otherwise, the duty is charged at the same rate as a bond of ₹10,000, which works out to around ₹700 to ₹750 in recent compilations. Confirm the exact amount before signing.

Other states

Delhi charges 1% of capital with a minimum of ₹200 and a maximum of ₹5,000. Gujarat charges 1% of capital up to a maximum of ₹10,000, and Kerala charges a flat ₹5,000. Other states with their own schedules, caps and duties on capital or immovable property contributions include West Bengal, Telangana, Andhra Pradesh, Rajasthan and Madhya Pradesh. However, if it is executed in one state but concerns property or business in another, or is later brought into another state, seek professional advice before finalising the stamping procedure.

Step 2: Partnership Capital

Ascertain the total capital contributed by all the partners. In states like Maharashtra, Delhi and Gujarat, the capital contribution becomes an important criterion for determining duty.

Step 3: Presence of Immovable Property

If a partner brings immovable property into the firm, a higher duty could be imposed depending on its market value or guideline value, and the deed may need to be registered. Karnataka’s schedule, for example, provides for duty on reconstitution with immovable property. Where land is involved, get advice before the property is transferred to the firm.

Step 4: Select one of the methods of stamping

Depending on the state, you can make payment via:

Non-judicial stamp paper.

e-Stamp certificate.

e-stamping online via the state registration portal.

Tamil Nadu allows e-stamping and making online payments using net banking, credit/debit cards, and UPI.

Step 5: Execute and register

Sign the deed in the presence of witnesses. Register the deed as necessary. Register the partnership firm with the Registrar of Firms.

Avoid under-stamping and registration delays. Book a stamp-duty review for your partnership deed with Kanakkupillai.

Documents Required for Partnership Deed Registration

Please have the following documents ready:

Partnership deed (draft) on stamp paper or e-stamp.

PAN and Aadhaar of all the partners.

Passport-size photographs of all the partners.

Address proof of all the partners.

Address proof of the principal place of business, in the form of an electricity bill, rent agreement or ownership deed.

NOC from the property owner in case rented premises are used.

List of partners along with capital contribution and profit-sharing ratio.

Proof of payment of stamp duty and registration fee.

Application form as prescribed for registration of the firm.

Authorisation letter in case the application is filed by an authorised agent.

PAN of the firm, which is also needed for the bank account.

Consequences of Insufficient Stamp Duty

Deficiency in stamp duty on the deed will lead to several problems, such as the following:

It may be impounded by the authority.

The authority may demand deficit stamp duty and a penalty.

The deed may not be admitted in evidence unless the deficiency is rectified.

It may result in delay in registration of the firm.

Banks may delay opening a current account, making loans, or granting overdrafts to the firm.

Profit-sharing or dissolution issues will become harder to settle.

Under the Indian Stamp Act, an under-stamped instrument is generally not void, but it can be impounded and cannot be relied on in evidence until the deficiency and the penalty are paid. Tamil Nadu policy documents also describe an inquiry by the Registrar and the issue of a certificate for deficit duty in relevant cases.

Other Deeds and Changes That Attract Stamp Duty

The original deed is not the only document. When partners are admitted, retire, change capital or dissolve the firm, a supplementary, retirement or dissolution deed is usually drawn up. Each is a separate instrument and may attract duty under the state schedule, and changes in the firm’s constitution must also be notified to the Registrar of Firms. Keep the original deed updated, and check the duty on each new document with the Sub-Registrar.

We handle amendments and reconstitution as part of our partnership services. In Tamil Nadu, nearly all partnership deeds now fall under the ₹1,000 stamp duty and 1% registration fee category, after the increase from ₹300 on 3 May 2024. However, founders should check the latest TNREGINET schedule before making any payment. A correctly stamped and registered deed offers the founders security and legality in their partnership.

Need Help Drafting and Registering Your Partnership Deed?

Get professional assistance with partnership deed drafting, state-wise stamp duty requirements, partner roles, profit-sharing ratios, capital contributions and registration formalities to establish your partnership firm with proper documentation.

Get Partnership Registration Assistance

FAQs on Partnership Deed Stamp Duty

1. What is the stamp duty for a partnership deed in Tamil Nadu?

For a partnership deed where capital does not exceed ₹500, the stamp duty is ₹50. In other cases, it is ₹1,000, which was ₹300 before 3 May 2024. A registration fee of 1% is also applicable as per the Tamil Nadu schedule when the deed is registered.

2. Is partnership deed registration compulsory in Tamil Nadu?

Registration of the firm is not mandatory at formation, but Tamil Nadu government guidance states that a partnership firm should be registered to claim legal rights, and changes in constitution must be filed under the Indian Partnership Act. Registration of the deed as a document is compulsory only where immovable property is contributed.

3. Who registers partnership firms in Tamil Nadu?

The District Registrar (Administration) acts as the Registrar of Firms under the Indian Partnership Act, 1932.

4. Is stamp duty the same in every Indian state?

No. Stamp duty is state-specific. For example, Tamil Nadu generally applies ₹50 or ₹1,000 depending on capital, Maharashtra applies ₹500 or 1% of cash contribution above ₹50,000 subject to a cap, and Karnataka applies a flat ₹2,000 in most cases.

5. Does capital contribution affect stamp duty?

Yes, in several states. Tamil Nadu distinguishes between capital up to ₹500 and other cases, while Maharashtra, Delhi and Gujarat charge a percentage of capital up to a cap.

6. Why do some websites show ₹300 for Tamil Nadu?

That was the rate before 3 May 2024. The Indian Stamp (Tamil Nadu Amendment) Act, 2023 raised it to ₹1,000, so older pages are out of date.

7. Is partnership deed stamp duty the same as LLP agreement stamp duty in Tamil Nadu?

Both are ₹1,000 where the capital exceeds ₹500. The articles and states’ rules differ for other states, so check each.

8. What happens if my deed is under-stamped?

It can be impounded; you may have to pay the deficit duty and a penalty, and the deed is not usable as evidence until that is done.

9. Can a partnership deed be oral?

Yes, a partnership can exist without a written deed. But a written deed is strongly advised, and stamp duty applies only to a written instrument.

10. What is the maximum number of partners?

A partnership can have at most 50 partners and needs a minimum of two.

11. Do I need to stamp a deed for adding or removing a partner?

Usually yes. Supplementary, retirement and dissolution deeds are separate instruments, and the duty depends on the state schedule.

12. Where do I pay stamp duty in Chennai?

Through e-stamping via the TNREGINET portal, or through authorised stamp vendors, and you can pay online by net banking, cards or UPI.

Official Sources

TNREGINET (Tamil Nadu Registration Department)

India Code: The Indian Stamp Act, 1899

A partnership deed is the basic legal document of a partnership firm.
