In addition to ID proof, residential address verification is required.

Accepted Documents:

  • The latest copy of Electricity Bill, Telephone Bill or Bank Statement (should not be older than 2 months).
  • The document needs to clearly display the name of the director/shareholder and the address.

This helps the MCA validate the residential authenticity of individuals involved in the company.

3. Passport Size Photographs

Each director and shareholder must provide recent passport-sized photographs (preferably with a white background and in digital format). This is used for official records and digital filings.

4. Registered Office Address Proof

  • The Electricity Bill / Water Bill / Property Tax Receipt / Gas Bill (should not be older than 2 months).

  • No Objection Certificate from the property owner, allowing the company to use the premises as its registered office.

If the office is self-owned, the ownership documents or the sale deed must be attached.

5. Memorandum of Association (MOA)

The MOA defines the purpose and objectives of the Section 8 Company. Since it is a non-profit organization, the MOA must clearly specify that:

  • The company’s primary aim is to promote charitable objectives.
  • Income and profits will be used solely for promoting these objectives.
  • Members will not receive any dividends or profit distributions.

The MOA is filed in Form INC-13 as per the Companies (Incorporation) Rules, 2014.

6. Articles of Association (AOA)

The AOA defines the rules and regulations governing the internal management of the company. It includes provisions related to:

  • Membership rights and duties
  • Meetings and voting powers
  • Appointment of directors
  • Financial management

Together, MOA and AOA form the company’s constitution and must be duly signed by all subscribers.
