Minimum Partners Required for LLP in India: Eligibility, Rules and Legal Requirements

11 Mins read
Legally Reviewed

The minimum number of partners in an LLP is two, with no maximum. This is what most individuals expect to hear, and they have answered it correctly. However, this only covers half of the LLP Act requirements. Additionally, all LLPs are required to have at least two designated partners, with at least one being a resident of India. Combining these two requirements is confusing for most first-time entrepreneurs.

This article explains how the requirements are linked, who qualifies as a partner, and what happens when you have fewer partners later on.

Quick Summary

Under the Limited Liability Partnership Act, 2008, an LLP in India must have a minimum of two partners to be incorporated. These partners can be individuals or body corporates, subject to applicable legal requirements. An LLP must also have at least two designated partners responsible for statutory compliance, with at least one designated partner being resident in India.

  • Minimum two partners: Every LLP must have at least two partners at the time of incorporation.
  • Individual or corporate partners: Partners may include individuals, companies or other eligible body corporates.
  • Minimum two designated partners: An LLP must appoint at least two designated partners, who are responsible for statutory and regulatory compliance.
  • Resident designated partner: At least one designated partner must satisfy the statutory requirement of staying in India for at least 120 days during the financial year.
  • Partner and designated partner roles: Partners contribute to the LLP’s business, while designated partners have additional responsibilities for legal filings and compliance.
  • No maximum partner limit: An LLP can have more than two partners, allowing businesses to expand ownership as needed.
  • Plan for partner changes: If the number of partners falls below two and the LLP continues business for more than six months, the sole remaining partner who knows this fact may become personally liable for obligations incurred during that period.
  • Document partner arrangements: Clearly define capital contributions, profit-sharing ratios, responsibilities and decision-making powers in the LLP Agreement.

Partners vs Designated Partners

Every designated partner is a partner, but not every partner is a designated partner. The designated partners carry the statutory responsibility, signing filings, answering to the Registrar, and taking the blame for compliance failures. Ordinary partners share profits and run the business but don’t carry that load. In a two-person LLP, both partners are usually the designated partners.

Aspect Partner Designated Partner
Minimum number Two Two
Can be a company or LLP? Yes, through a nominee No, only an individual (a company’s or LLP’s nominee can act)
Needs a DPIN and DSC? Not unless designated Yes
Residency condition None At least one must be resident in India
Statutory compliance duty Shared as partners Personally responsible

If you name only one designated partner, or none, every partner is treated as a designated partner by law. That means every partner then carries the compliance duty. Read who can be an LLP designated partner and how to get a DPIN.

Who Can Be a Partner

  • Resident Indian individuals, with no limit on how many you add
  • NRIs and foreign nationals, as ordinary partners or designated partners, provided one designated partner is India-resident
  • Companies and other LLPs, which must nominate an individual to act for them

Individuals who have been found to be of unsound mind, who are undischarged insolvents, or who have a pending insolvency application can’t become partners under Section 5.

Partnership firms and Hindu Undivided Families (HUFs) are neither individuals nor bodies corporate, so they cannot be partners in their own name. Their members can join as individuals.

If foreign investment is involved, the FDI rules apply. The LLP’s business must be in a sector open to foreign investment under the automatic route, and the resident designated partner may also need to meet the FEMA definition of resident, which uses a different 182-day test. Foreign investment also needs reporting to the RBI.

The Resident Designated Partner Rule

A person counts as resident for this purpose if they have stayed in India for at least 120 days during the financial year. Many articles still say 182 days, which was the position before the LLP (Amendment) Act, 2021 reduced it. If you are relying on an older guide, check the date. The shorter test makes it easier for NRI founders to satisfy the rule through a co-founder or even themselves.

Do not mix this up with company law. A private company’s resident director needs 182 days under the Companies Act, 2013, while an LLP’s resident designated partner needs 120 days.

Documents Required

Who What You Need
Each individual partner PAN, Aadhaar or passport, photograph, address proof
Designated partners A DSC and a DPIN or DIN, along with the above
Foreign national partner Passport and notarised or apostilled address proof
Body corporate partner Certificate of incorporation, a board resolution naming the nominee, and the nominee’s KYC
Registered office Rent agreement with NOC, plus a utility bill under two months old

For the complete list, see the documents required for LLP registration. Designated partners need a Class 3 Digital Signature Certificate.

Step-by-Step: Forming an LLP With Two Partners

Step 1. Pick your two designated partners

Choose two individuals, and confirm that at least one will be resident in India under the 120-day test.

Step 2. Get DSCs and DPINs

Both designated partners need a Digital Signature Certificate, and the DPIN is allotted through the incorporation form.

Step 3. Reserve the name

Apply through RUN-LLP. The name must end with “LLP”. Check availability first with our company name search and trademark search.

Step 4. File FiLLiP

Submit partner details, the registered office, and each partner’s contribution, with consent from every partner.

Step 5. File the LLP agreement

Form 3 must be filed within 30 days of incorporation, setting out profit shares, roles, and exit terms. See the stages of LLP incorporation for the full journey.

Fees / Cost

There is no minimum capital, so each partner’s contribution can be whatever you agree. Government fees depend on the contribution: FiLLiP costs ₹500 up to ₹1 lakh, ₹2,000 up to ₹5 lakh, ₹4,000 up to ₹10 lakh and ₹5,000 above ₹10 lakh, and RUN-LLP costs ₹200. Form 3 costs ₹50 to ₹600 depending on contribution. Stamp duty on the LLP agreement varies by state, and you will pay for DSCs. Adding a partner later is a small filing fee, not a re-incorporation. See the full cost of LLP registration and our MCA fee calculator.

Timeline

Stage Typical Timeline
Name approval A few working days
Incorporation after FiLLiP Roughly one to two weeks
LLP agreement (Form 3) Within 30 days of incorporation
Notice of a partner change (Form 4) Within 30 days of the change

What Happens If Partners Fall Below Two

The LLP does not terminate itself as a result, much to the relief of many people. Section 6 only starts a six-month countdown. If the number of partners of an LLP falls below two and it still continues business for more than six months with a single partner, that partner becomes personally liable for the obligations of the LLP incurred after those six months, provided they know the LLP is carrying on business with them alone. The protection of limited liability, the whole purpose of opting for an LLP, is withdrawn.

If the number of designated partners falls below two, all partners are deemed to be designated partners. The LLP must also appoint a new designated partner within 30 days of the vacancy (Section 9) and report it. See the procedure for appointment of a designated partner.

Compliance When Partners Change

  • File Form 4 within 30 days of any change in partners or designated partners
  • Update the LLP agreement and file the amendment through Form 3 within 30 days
  • Keep two designated partners in place at all times, with at least one resident
  • Make sure every new partner has given written consent before joining
  • Every designated partner must complete the DIR-3 KYC

Penalty for Getting It Wrong

Late filing of LLP forms attracts an additional fee. Since 1 April 2022, this is a multiple of the normal filing fee that rises with the length of the delay, and not a flat ₹100 a day. A missed Form 4 therefore gets more expensive the longer it is left.

Separately, the LLP Act penalises the structure itself. If an LLP does not have two designated partners, or none is resident in India, the LLP and every partner can be fined between ₹10,000 and ₹5 lakh. Failing to follow the rules on consent, changes and filling a designated partner vacancy can attract a fine of ₹10,000 to ₹1 lakh. And running on one partner for more than six months exposes that partner to personal liability for the LLP’s debts, a risk no filing fee can undo.

What’s Current in 2026

The minimum has not changed. It is still two partners and two designated partners, with the 120-day residency test in place since 2021. The Corporate Laws (Amendment) Bill, 2026 proposes some LLP changes, but the clause summaries reviewed do not alter the minimum number of partners. See our guide to the latest amendments to the LLP Act.

Minimum Members and Directors by Business Structure

Structure Minimum Members Minimum Directors or Designated Partners Resident Requirement

Private Limited Company 2 members, maximum 200 2 directors One resident director (182 days)
Public Limited Company 7 members 3 directors One resident director (182 days)
One Person Company 1 member plus a nominee 1 director One resident director (182 days)
Partnership Firm 2 partners Not applicable None

Minimum Partners for an LLP in Chennai and Tamil Nadu

The partner rules are central law, so they are the same in Chennai, Coimbatore or Madurai: two partners, two designated partners and one resident. What differs is the local filing. An LLP with its registered office in Chennai is registered by ROC Chennai, and the LLP agreement in Tamil Nadu is stamped at the state’s rate, currently ₹1,000. Confirm the latest rate before signing. See LLP registration in Chennai and minimum capital required to start an LLP in Chennai.

Two situations are common among Tamil Nadu founders.

  • Founders living abroad: many Tamil entrepreneurs in Singapore, the Gulf, and the US want an LLP in Chennai. At least one designated partner must be resident in India for 120 days, so a co-founder or family member in Chennai often takes that role, with the NRI as a partner or a second designated partner.
  • Registered office in Chennai: you need a rent agreement with the owner’s NOC naming the LLP, or ownership proof, plus a latest electricity or Metrowater bill. Founders without premises can consider a virtual office if the documents are in order.

Common Mistakes

  • Assuming one founder plus a nominee who has no real role will hold up in a dispute
  • Believing a company or LLP partner can itself serve as designated partner
  • Relying on an old article that still quotes the 182-day residency rule
  • Letting the partner count drop to one after an exit and carrying on for months
  • Naming a partnership firm or HUF as a partner
  • Forgetting to file Form 4 and the Form 3 amendment within 30 days of a change
  • Not replacing a designated partner within 30 days of a vacancy

Why Getting the Partner Structure Right Matters

  • Keeps your limited liability protection intact
  • Avoids a registration query over residency or designated partners
  • Makes exits and new joiners a routine filing, not a crisis

A Scenario Worth Knowing About

Two friends start a design LLP. In the twelfth month, one leaves to join a larger firm, and the other keeps the business going alone, assuming the LLP continues regardless. Six months later, the LLP is still running with one partner. The remaining partner is now personally liable for obligations the LLP takes on from that point. In the twentieth month, a vendor invoice goes unpaid, and the vendor claims against the remaining partner personally, not only the LLP. Admitting a replacement within the six months would have avoided it.

Expert Tips

  • Give your second partner a genuine role and a genuine contribution, not just a signature
  • Keep a spare partner or successor in mind in case someone exits suddenly
  • Diarise six months from any exit as the outer limit for filling the gap
  • Diarise 30 days from any designated partner vacancy for the replacement filing

Partner Types Compared

Type Can Be a Partner? Can Be Designated Partner?
Resident Indian individual Yes Yes
NRI or foreign national Yes Yes, but one designated partner must be an Indian resident
Company Yes, through a nominee No, only its nominee individual can
Another LLP Yes, through a nominee No, only its nominee individual can
Partnership firm or HUF No, in its own name No
Person of unsound mind No (Section 5) No
Minor The Act does not expressly bar it, but it is rarely advisable. Take professional advice. No, a DPIN needs an adult

FAQs

1. What is the minimum number of partners required for an LLP?

Two. Section 6 of the LLP Act, 2008 requires at least two partners, and there is no maximum. A single person can’t form an LLP and would need a One Person Company instead.

2. What is the difference between a partner and a designated partner?

A designated partner is an individual partner who carries the statutory responsibility for compliance and filings. Every LLP needs at least two of them, and at least one must be resident in India.

3. Can a company be a partner in an LLP?

Yes. A company or another LLP can be a partner, but it acts through an individual nominee, and only that individual can serve as a designated partner on its behalf.

4. What does resident in India mean for a designated partner?

A person who has stayed in India for at least 120 days during the financial year. This was reduced from 182 days by the LLP (Amendment) Act, 2021, though older guides still quote the earlier figure.

5. What happens if my LLP has only one partner left?

The LLP continues, but if it carries on business with one partner for more than six months, that partner becomes personally liable for obligations incurred after those six months, if they know they are the only partner. Admit a replacement and file the change within the window.

6. Is there a maximum number of partners in an LLP?

No. Unlike a private company’s cap of 200 members, an LLP can admit any number of partners. Each new partner needs to consent in writing, and the change is reported to the Registrar.

7. Can an LLP have only one designated partner?

No. The law requires at least two. If only one is named, or none, every partner is treated as a designated partner, and the LLP should appoint a new one within 30 days of a vacancy.

8. Can an NRI be a designated partner?

Yes, but at least one designated partner of the LLP must be resident in India, meaning 120 days of stay in the financial year.

9. Can a partnership firm or HUF be a partner in an LLP?

Not in its own name. Only individuals and bodies corporate can be partners, so the members of a firm or HUF can join as individuals.

10. Is minimum capital required to form an LLP?

No. The LLP Act sets no minimum contribution, and partners can agree on any amount. Government fees rise with the contribution declared.

11. What is the penalty if an LLP lacks the minimum designated partners?

The LLP and every partner can be fined between ₹10,000 and ₹5 lakh. Late filings also attract additional fees.

12. Who registers an LLP in Chennai?

ROC Chennai registers LLPs with a registered office in Chennai. The partner rules are the same across India, and filing is online.
