An LLP can register as an MSME on the Government of India’s Udyam Registration portal. Registration is free, online, paperless and based on self-declaration. For an LLP, you must give the LLP’s own PAN, its GSTIN where GST registration applies, and the Aadhaar number of its authorised signatory.
Udyam registration makes the LLP eligible for MSME-specific schemes such as delayed payment protection, the credit guarantee facility, and other government schemes, and it gives the LLP an MSME identity. This guide explains how Udyam/MSME registration works for an LLP.
Quick Summary
Udyam/MSME Registration for an LLP helps eligible Limited Liability Partnerships access government schemes, financial support and business development opportunities available to micro, small and medium enterprises. The registration process is online and requires accurate LLP, PAN and other applicable business details. What Is Udyam Registration?
Udyam Registration is the official online registration process for MSMEs in India. It replaced the earlier Udyog Aadhaar Memorandum (UAM) and links the MSME database with the PAN and GST databases.
According to the Ministry of MSME, Udyam registration is a simple, online, paperless, self-declaration-based procedure designed to make registration easier for MSMEs and to ease doing business. On completion of registration, the enterprise receives an online Udyam Registration Certificate.
Can an LLP Register Under Udyam?
Yes. An LLP can register through the Udyam portal. For a company, LLP, co-operative society, society or trust, the portal asks the organisation or its authorised signatory to provide the GSTIN, if applicable, along with the PAN and Aadhaar. If you are still setting up the business, see our guide to LLP registration.
An LLP does not have to convert into a private limited company to get MSME registration. It does need a valid PAN in its own name and a GSTIN where GST registration is required under the CGST Act and the MSME notification. If you do not have one yet, you can register for GST online.
Who signs the application?
The application is filed by the LLP’s authorised signatory. The Aadhaar number used for verification is the authorised signatory’s. The PAN and GSTIN must be those of the LLP itself, not of the signatory or of the partners.

MSME Classification for LLPs
The classification below applies from 1 April 2025 (Notification S.O. 1364(E)). Both the investment limit and the turnover limit must fit within a category. Investment means investment in plant and machinery or equipment, and exports are excluded when turnover is calculated.
| MSME Category | Investment in Plant & Machinery/Equipment | Annual Turnover |
| Micro | Up to ₹2.5 crore | Up to ₹10 crore |
| Small | Up to ₹25 crore | Up to ₹100 crore |
| Medium | Up to ₹125 crore | Up to ₹500 crore |
Importance of classification
The classification determines the schemes, credit facilities and protections available to your LLP. For example, delayed payment provisions under the MSMED Act apply to micro and small enterprises, and the credit guarantee is available only to eligible micro and small enterprises. If your LLP grows into a higher category, the benefits it already enjoys generally continue for a transition period of up to three years from reclassification.
Benefits of Udyam Registration for LLPs
1. Government-recognised MSME identity
Registration under Udyam gives the LLP the identity of a government-recognised MSME. This helps when dealing with banks, corporate buyers, government agencies and vendors who ask for MSME status when onboarding suppliers.
2. Delayed payment protection
Micro and small enterprises registered on the Udyam portal can file complaints about delayed payments with the Micro and Small Enterprises Facilitation Council (MSEFC). The MSME Samadhaan portal has an online system for eligible suppliers to file these complaints. The MSMED Act requires a buyer to pay within the agreed period, which cannot exceed 45 days, and charges interest at three times the RBI bank rate, compounded monthly, on delayed amounts.
The Income-tax Act also supports prompt payment: a buyer who pays a micro or small supplier beyond the permitted period generally gets the deduction for that expense only when the payment is made (Section 43B(h)). This gives larger buyers a reason to pay your LLP on time.
3. Improved access to credit
Udyam registration can help the LLP’s financing process. The Credit Guarantee Fund Scheme for Micro and Small Enterprises supports collateral-free term loans and working capital through eligible lending institutions, with guarantee cover now of up to ₹10 crore, raised from ₹5 crore. Our guide explains how to apply for a CGTMSE loan online.
4. Availability of government schemes
Registration under Udyam is compulsory to claim benefits at the MSME Samadhaan office, including the delayed payment provisions. It is also one of the primary registrations for many MSME schemes, programmes and online portals, including public procurement preferences and relaxations for MSEs in government tenders.
5. No renewal
Once the registration is complete, the Udyam certificate does not need to be renewed. As the official website states, there is no renewal requirement after registration. See our guide to the MSME registration certificate.
6. Less compliance effort
There is no cost, no document upload, and no physical paperwork for the registration process.
Documents and Details Required for MSME Registration
The Udyam portal does not ask you to upload documents. However, the LLP should keep the following information ready, because it must be accurate and verifiable. For the full checklist, see our guide to the documents required for MSME (Udyam) registration.
- LLP name, exactly as it appears in the PAN record, including “LLP”, and its LLP Identification Number (LLPIN) for reference.
- Date of incorporation, as shown in the PAN record.
- LLP PAN.
- LLP GSTIN, where GST registration is applicable.
- Aadhaar number of the authorised signatory, with the mobile number linked to it.
- Authorised signatory’s name, mobile number and email ID.
- Official address of the LLP.
- Bank account details, including IFSC code.
- Principal business activity and the appropriate NIC code.
- Details of employees, if applicable.
- Investment in plant and machinery or equipment.
- Annual turnover details.
Steps for Udyam/MSME Registration for an LLP
1. Go to the Udyam portal
Register only on the official portal, udyamregistration.gov.in. The government states that MSME registration is free of cost, paperless and based on self-declaration. Any website that asks for a fee for the registration itself is not a government agency.
2. Select the right registration type
Choose registration for a new enterprise. For an LLP, make sure you proceed as an organisation and not as an individual proprietorship.
3. Do the Aadhaar verification
Enter the Aadhaar number of the LLP’s authorised signatory and verify it with an OTP. The official process starts with Aadhaar verification through OTP.
4. Give the PAN and GSTIN
Give your LLP’s PAN and GSTIN, wherever required. The portal validates the PAN against the Income Tax database before it lets you continue with the Udyam registration details. If validation fails, check that the LLP name and date of incorporation match the PAN record exactly.
5. Enter the enterprise details
Give the LLP’s name, address, bank details, business activity, NIC code, employment details, and investment and turnover details. Make sure that the NIC code matches the economic activity of your LLP.
6. Declare investment and turnover
Declare the investment in plant and machinery or equipment and the annual turnover. These figures decide the LLP’s MSME category. The portal also draws turnover and investment data from the Income Tax and GST databases, so the figures you declare must agree with your returns.
7. Submit and receive the certificate
After successful submission, the portal generates an acknowledgement, and once the registration is completed, the Udyam Registration Number and Certificate are issued online.

How to Update Udyam Registration Details?
LLPs must keep their Udyam registration details current. If the address, bank details, business activity, authorised signatory, investment or turnover changes, the LLP must update the details through the portal. See how to update or edit Udyam registration details online.
Some details cannot be edited after registration. The Aadhaar number, name as per Aadhaar, PAN, name as per PAN and date of incorporation are locked because they are tied to identity verification. That is another reason to check the PAN details before you submit.
Udyam is a dynamic system connected to the PAN and GST systems, so your GST returns and ITR figures should agree with what you declare. Updating details helps you avoid discrepancies in bank verification, applications for schemes, participation in tenders, or claims for delayed payment.
Udyam Certificate: Validity and No Renewal
The Udyam Registration Certificate is issued online after registration and does not need to be renewed.
But “no renewal” does not mean “no update”. LLPs must update their details when turnover, investment, address, bank details or business activity changes.
Delayed Payment Protection Through MSME Samadhaan
One of the most useful advantages for a small LLP selling goods or services is delayed payment protection. Through the MSME Samadhaan platform, eligible micro and small enterprises can apply for recovery of delayed payments. Our guide explains the MSME Samadhaan delayed payment system.
As per the official FAQ, Udyam registration is necessary to claim the delayed payment facility, and the registration must exist before the date of the disputed invoice. A buyer must pay within the agreed time, which cannot be more than 45 days, and interest runs at three times the RBI bank rate, compounded monthly, from the due date.
Cases can take time to be heard, so keep the purchase order, delivery proof, invoices and payment correspondence in order from the start. Trading LLPs under NIC codes 45, 46 and 47 are not covered by the delayed payment provisions.

Access to Credit and Government Programs Through MSME Registration
Udyam registration can improve an LLP’s access to formal credit and MSME programmes. According to the Ministry of MSME, the credit guarantee mechanism guarantees and reduces the risk for lending institutions, helping enterprises raise working capital and investment capital.
The Credit Guarantee Fund Trust for Micro and Small Enterprises (CGTMSE) provides guarantee cover on credit facilities given to micro and small businesses by eligible lending institutions. The guarantee coverage ceiling was raised from ₹5 crore to ₹10 crore, enabling larger collateral-free support, so check the current limit and scheme conditions with your lender.
What Udyam Registration Does Not Guarantee?
Udyam registration does not mean a loan application is approved automatically. Banks and lending institutions assess the LLP’s financial standing, credit record, project feasibility, guarantee cover and repayment capacity.
Common Errors LLPs Make in Udyam Registration
1. Using the partner’s PAN instead of the LLP’s PAN
For an LLP, the PAN must be in the name of the LLP itself. The Aadhaar given is that of the authorised signatory, while the enterprise PAN and GSTIN are the LLP’s.
2. Entering the LLP name differently from the PAN record
The name must match the PAN record exactly, including the “LLP” suffix, and the date of incorporation must match too. A mismatch is one of the most common reasons for a PAN validation failure.
3. Choosing the wrong NIC code
The NIC code you choose can affect the LLP’s scheme eligibility. Trading activities under NIC codes 45, 46 and 47 are not eligible for the delayed payment provisions. Traders can still register on Udyam, but the benefits are limited to priority sector lending.
4. Giving incorrect turnover or investment
Wrong turnover or investment figures can lead to the wrong MSME classification. Because Udyam data is connected with the PAN and GST systems, declare accurate data, and remember that exports are excluded from turnover.
5. Thinking registration is paid
Udyam registration is free of cost. The official website states clearly that no government fee has to be paid. Third-party websites may ask for a fee.
6. Ignoring updates after growth
An LLP that crosses a classification threshold should update its Udyam details. This keeps the MSME record accurate and prevents issues during scheme verification or lender due diligence.
7. Waiting until a payment dispute arises
For delayed payment claims, Udyam registration must exist before the date of the disputed invoice. LLPs should register early rather than after a buyer defaults.
8. Registering twice
Only one Udyam registration is allowed for each PAN. If two LLPs share the same partners, each LLP has its own PAN and so needs its own registration, but one LLP cannot register twice. Add extra activities to the existing registration instead.
