Pvt Ltd Registration in Kerala
Private limited company registration in Kerala is done online on MCA's SPICe+ form and takes typically 7–10 working days, subject to MCA processing. Two directors and two shareholders are enough to begin, the same two people may fill both roles, and the law prescribes no minimum capital.
One Registrar, ROC Ernakulam, looks after every company in the state, whether its address is in Thiruvananthapuram, Thrissur or Kozhikode. Local matters such as profession tax sit with your corporation, municipality or grama panchayat.
We work with Kerala founders fully online. Our team speaks Malayalam, along with English, Tamil, Hindi, Telugu and Kannada.

What is a private limited company?
In law, a private limited company is a person in its own right. It is incorporated under the Companies Act, 2013 and stands apart from the people who start it. Its capital is split into shares held by 2 to 200 members, and it buys property, signs contracts and borrows in its own name. Shareholders' liability is generally limited to the amount unpaid on their shares, though personal exposure can still arise in some situations, such as fraud or a personal guarantee.
If you are still choosing a structure, our comparison of private limited company vs LLP sets out the trade-offs. Our main page on private limited company registration covers each MCA stage in depth.
Benefits of a private limited company for Kerala businesses
A clear route for investing from the Gulf
A Keralite working in the Gulf who wants to build something back home can subscribe for shares and sit on the board while still abroad, with the paperwork planned with us before any money is remitted.
Equity for investors and early staff
Funding rounds and ESOPs are normally built on a company, which matters to a product team at Infopark, the Government of Kerala's IT park at Kakkanad, planning to raise money or reward early engineers.
An identity customers can verify
Every company has a CIN on MCA's public records, which a customer's vendor-onboarding team, a tender authority or a lender can look up before doing business with you.
Continuity for family enterprises
When the next generation takes over a family trading or hospitality business, shares change hands while the company keeps its assets, contracts and banking relationships.

Pvt Ltd company registration in Kerala: eligibility and documents
| Item | What the law expects |
|---|---|
| Directors | At least 2 and up to 15 (more by special resolution), of any nationality, each holding a DIN; SPICe+ can allot DINs for a limited number of first directors, and any other director applies separately |
| One director based in India | At least one has stayed in India for 182 days or more during the financial year (for a newly incorporated company, this applies proportionately in its first financial year) |
| Shareholders | 2 to 200; individuals, companies, LLPs or foreign entities can subscribe, and the directors may also be the shareholders |
| Capital | No minimum; authorised capital caps the shares you may issue, and paid-up capital is what members actually pay in |
| Name | Ends in "Private Limited" and must not resemble an existing company, LLP or registered trademark |
| Registered office | Any address in Kerala, a home or a commercial space, owned or rented |
| Digital signatures | Needed by every director and every subscriber who signs; MCA accepts Class 2 or Class 3 |
Papers from each founder
An Indian founder sends a PAN, which is mandatory, and one identity document: Aadhaar, voter ID, passport or driving licence. Add a residence proof dated within the last 2 months, such as a bank statement or a utility or mobile bill, plus a photograph, a working email address and a mobile number.
A founder living abroad generally has the passport and address proof notarised and apostilled in that country, or consularised if it is outside the Hague Convention; exact requirements depend on the country and the founder's status. A company taking shares sends its apostilled certificate of incorporation, a board resolution and the signatory's details. Our guide to company registration for NRIs and foreign nationals covers the overseas paperwork.
The registered office: what to collect
When the order of a name changes
Kerala names often change order between records, and a house name may appear in full on one and as an initial on another. A founder can be "Thomas Kurian" on PAN, "Kurian Thomas" on Aadhaar, and "V. Thomas Kurian" on a bank statement where the house name Vadakkel has shrunk to a letter. In our experience, differences like these can get DSC and SPICe+ applications sent back, so we have each founder's records aligned, or the difference explained, before filing.

How to register a private limited company in Kerala: step by step
Settle the basics. We fix the activity, the shareholding, the authorised capital and the Kerala address for the registered office.
Arrange signatures. Each director's digital signature certificate is issued once identity is confirmed by video or Aadhaar.
Apply for the name (SPICe+ Part A). One application carries up to two names and allows one resubmission; an approved name is held for 20 days, within which Part B is filed.
File the incorporation (SPICe+ Part B, INC-32). We draft the e-MoA (INC-33), the e-AoA (INC-34), the DIR-2 and INC-9 declarations and AGILE-PRO-S (INC-35). The same filing applies for DINs, PAN and TAN, and AGILE-PRO-S requests EPFO and ESIC registration and a bank account, with a GSTIN as an option.
E-sign and pay. Directors sign with their DSCs, and the MCA fees go in one online payment.
Receive the certificate. MCA's Central Registration Centre (CRC) reviews the application and issues the Certificate of Incorporation, which carries the CIN, PAN and TAN.
| Milestone | Working days, as a guide |
|---|---|
| DSCs ready for the directors | 1–2 |
| MCA's decision on the proposed names | 1–3 |
| Part B drafted and submitted | 1–2 |
| CRC review, ending with the certificate | 3–5 |
| From documents to certificate | 7–10, since some stages run in parallel |
These are indicative stage times, not an MCA commitment; MCA's processing decides the final date.
Getting the name through
MCA usually turns down a name that is close to an existing company, LLP or trademark, uses restricted words such as Bank or National without approval, does not reflect the main objects, or suggests a government link. You can check company name availability before settling on a shortlist; we then search MCA and trademark records for every option.
Online private limited company registration in Kerala
Every Kerala incorporation runs online, led by our CA/CS team at Adambakkam, Chennai, with DSC identity checks by video or Aadhaar, scanned documents and electronic signatures.
Our team leads with Malayalam, with English, Tamil, Hindi, Telugu and Kannada also available. Incorporation needs no visit to the ROC Ernakulam office either, as the application is filed online with MCA.
ROC Ernakulam: address, contact and jurisdiction for Kerala
Name approval and incorporation are handled centrally by MCA's Central Registration Centre. From the date on your certificate, ROC Ernakulam is the company's Registrar for annual filings, changes, notices and adjudication. ROC Ernakulam covers Kerala and Lakshadweep, so it is the only Registrar of Companies for every Kerala district.
| What you may need | Registrar of Companies, Ernakulam |
|---|---|
| Office address | Corporate Bhawan, BMC Road, Thrikkakara, Kochi 682021, Kerala |
| Phone lines | 0484-2421626 / 2421310 |
| roc.ernakulam@mca.gov.in | |
| Regional Director | South-Western Region Directorate (Bengaluru) |
| Territory | Kerala and the Union territory of Lakshadweep |
These contact details come from the MCA ROC contact page.
With one Registrar, moving your registered office from Kozhikode to Kochi, for instance, stays within ROC Ernakulam. Shifting it to Karnataka or any other state is a separate process.
Private limited company registration fees in Kerala
The government charges below are paid online with the SPICe+ filing.
A note on authorised capital
Authorised capital is a ceiling, not a sum you must deposit, so we generally suggest sizing it to the shares you will issue first. It can generally be increased later.
Ready to Start Your Kerala Registration?
Send your documents and we will check the name, prepare your SPICe+ form and arrange each director's DSC by video, so your Kerala filing can begin.
After incorporation: registrations for a Kerala company
In Kerala, profession tax and Shops & Establishments registration sit outside SPICe+.
Profession tax in Kerala
In Kerala, profession tax is collected half-yearly by the local body (corporation, municipality or panchayat) where you work or do business. The professional tax option in AGILE-PRO-S applies only in Maharashtra, Karnataka and West Bengal, so a Kerala company registers with its local body separately. Our professional tax registration team sets this up with the right one.
The slabs run on half-yearly income. These are the rates revised by the LSGD order of 27 June 2024:
| Half-yearly income (₹) | Profession tax for the half-year (₹) |
|---|---|
| Up to 11,999 | Nil |
| 12,000 to 17,999 | 320 |
| 18,000 to 29,999 | 450 |
| 30,000 to 44,999 | 600 |
| 45,000 to 99,999 | 750 |
| 1,00,000 to 1,24,999 | 1,000 |
| 1,25,000 and above | 1,250 |
The order's table is by half-yearly income. How it applies to the company itself, and to its staff and directors, depends on your local body.
Shops & Commercial Establishments on LCAS
Registration under the Kerala Shops and Commercial Establishments Act, 1960 is done online on the Labour Commissionerate's LCAS 2.0 portal. The applicant selects the Act, pays online against an e-challan and downloads the registration certificate once it is verified. Renewal certificates are auto-generated on payment of the prescribed fee. Our shop and establishment licence team prepares the application.
GST (state code 32), IEC and Udyam
Every Kerala GSTIN starts with 32 (Lakshadweep, under the same ROC, uses 31). A company registers within 30 days of becoming liable, while one supplying goods across state lines, a goods exporter included (an export of goods is an inter-state supply), generally registers from the outset under Section 24 of the CGST Act, subject to limited notified exemptions (e.g. CBIC notification 08/2017-IT for handicraft goods; 10/2017-IT covers services only). Our GST registration team handles either route.
Before the first import or export consignment, the company needs an Import Export Code from DGFT. Udyam (MSME) registration costs nothing, is done online, and can help with priority lending, protection against delayed payments and tender participation.
The first 180 days
Start with the company's bank account, so shareholders can pay in what they subscribed. Within 30 days of incorporation, the board meets for the first time (Section 173(1)) and appoints the first auditor (Section 139(6)). Share certificates are due within two months (Section 56(4)); our article on issuing share certificates explains the procedure. Within 180 days, the company files INC-20A (Section 10A), declaring that the subscription money has arrived.
Mention your expected first hires and your office's local body when we speak; together they decide which filings come first.
Government support for businesses in Kerala
Programme terms change, so confirm current details on each official site before applying.
Nationally, a new company can seek Startup India recognition from DPIIT, subject to its conditions.
Private limited company registration across Kerala
Every Kerala company follows the same online route and comes under ROC Ernakulam; what changes from place to place is the local body for profession tax and any trade licence.
Kochi
In Ernakulam district, with the ROC office itself at Thrikkakara. Ernakulam and Edappally fall under Kochi Municipal Corporation, while Kakkanad (Thrikkakara Municipality), home to Infopark, has its own local body. Our page on private limited company registration in Kochi covers the city in more detail.
Thiruvananthapuram, Kozhikode and Thrissur
The same Registrar and the same online filing, with profession tax handled by each city's own local body.
Why Kerala founders choose Kanakkupillai
Malayalam from the first call, with five other languages on offer
Fully online from Adambakkam, Chennai, which suits promoters living abroad
Profession tax, LCAS registration and GST arranged after the certificate
Example: a Gulf-based promoter starting a spice-export company in Thrissur
The situation: A Keralite working in the Gulf wants to set up a Thrissur company that buys spices from local growers and exports them. He will hold most of the shares and lead the business. His sister, who lives in Thrissur, will be the second director and a shareholder, and the family house there will be the registered office.
What we plan together:
Meeting the India-stay rule
While he remains abroad, his sister is the director who stays in India for 182 days or more in the financial year. His passport and address proof are apostilled where he lives, or consularised if that country is outside the Hague Convention. We plan the paperwork with him before he remits any money.
Export registrations from the start
An export of goods is an inter-state supply, and Section 24 of the CGST Act applies to inter-state taxable supplies, subject to limited notified exemptions, so we check that position for his supplies, plan GST registration straight after the certificate, and have an IEC from DGFT in place before the first shipment.
Local registrations as the team grows
Once staff join, the company registers for profession tax with its Thrissur local body, and we check what LCAS registration the premises need.
What the founders do: He verifies his DSC by video from the Gulf and e-signs every form; his sister sends a recent electricity bill for the house and the owner's NOC. Both work with our team in Malayalam.
