LLP Registration in Karnataka: Fees, Stamp Duty, ROC and City Guide
Karnataka is home to Bengaluru, one of India's leading technology and start-up hubs, alongside manufacturing, education and tourism in Mysuru, trade and engineering in Hubballi-Dharwad, textiles and agri-processing in Davanagere, and a growing services economy in Kalaburagi. Consultants, professional firms, family businesses and co-founders across the state choose the Limited Liability Partnership for limited liability with a flexible, partnership-style structure. Kanakkupillai registers LLPs across Karnataka, fully online.
LLP registration in Karnataka starts at ₹4,558 + GST + government fees. You need at least two partners and at least two designated partners who are individuals, with at least one designated partner resident in India. You need valid proof of a registered office address in Karnataka, and an LLP agreement stamped under Article 40-A of the Karnataka Stamp Act (₹5,000 where capital does not exceed ₹10 lakh) and filed in Form 3 within 30 days of incorporation. Every Karnataka LLP falls under ROC Bangalore. Our typical turnaround for a straightforward application is 7–10 working days after we receive complete documents, subject to MCA processing and resubmission requirements.
What Is an LLP?
A Limited Liability Partnership is a body corporate registered under the Limited Liability Partnership Act, 2008, with perpetual succession and a legal identity separate from its partners. The LLP is generally liable for its own obligations. A partner is generally not personally liable solely because they are a partner, but personal liability can arise for the partner's own wrongful act or omission, and the statutory protection does not shield fraudulent conduct.
For income tax, an LLP is taxed as a firm, as a separate taxable entity, under the Income-tax Act, 2025 (in force from 1 April 2026). A partner's share of the LLP's profit is generally exempt in the partner's hands, while remuneration and interest paid to partners are deductible to the LLP only where the LLP agreement authorises them and within the limits and conditions the Act prescribes, and are taxable in the partner's hands. For the national guide, see LLP registration in India.
Does an LLP Make Sense for Your Karnataka Business?
If you and your partners want to run the business together, share profits on your own terms, and keep your personal savings out of the firm’s debts, an LLP is usually where the conversation starts. In Karnataka, it tends to suit:
- Consultants, chartered accountants and advisory practices in Bengaluru (subject to your regulator’s rules)
- Small software, design and digital agencies that are self-funded
- Traders, distributors and commission agents in Hubballi, Davanagere and Mysuru
- Family businesses that want to move from an old partnership deed to a proper legal entity
- Education, training and services ventures with two or more promoters
If you expect to raise venture funding or give employees ESOPs, investors will usually ask for a private limited company. It is easier to start there than to convert later.

Getting Your LLP Name Approved
Most delays in the first week come from a rejected name. These habits help:
- Make one distinctive word the core of the name. “Kaveri Ledger Partners LLP” is more likely to pass than “Karnataka Business Services LLP”.
- Search the MCA name list and the trademark registry before you apply.
- Avoid words that suggest government links or a regulated business, such as “Bank”, “Insurance” or “Municipal”.
- Keep two backup names ready, and collect your documents before you reserve the name, because a reserved name is held only for a limited time.
Documents Required for LLP Registration in Karnataka
- Indian partners: PAN; Aadhaar, passport, voter ID or driving licence; recent address proof such as a bank statement or utility bill; a photograph; email and mobile number for DSC and MCA OTP.
- Foreign or NRI partners: passport; overseas address proof; a photograph; notarised, apostilled or legalised as applicable to the country and document.
- Body corporate partners: certificate of incorporation, board resolution nominating its representative, and the nominee's identity and address proof, as applicable.

Step-by-Step LLP Registration Process in Karnataka
- Digital Signature Certificates (DSC): each designated partner who signs an MCA filing needs a valid DSC.
- Name reservation: reserve the LLP name through RUN-LLP, or as permitted within FiLLiP.
- FiLLiP filing on MCA V3 with partner details, contribution, office proof and consents. DPINs for designated partners who don't already hold a DIN/DPIN are allotted through FiLLiP.
- MCA processing: MCA may ask for additional information or resubmission, and timing depends on MCA processing. We respond to any query through the MCA system.
- Incorporation: once approved, the LLP receives its Certificate of Incorporation and LLPIN. PAN and TAN are allotted through the integrated process.
- LLP agreement: pay Karnataka stamp duty under Article 40-A (e-stamp), have it signed by all partners, and file it in Form 3 within 30 days of incorporation.
- After incorporation: open a current account and complete the state and tax registrations that apply to your business (see below).

Which ROC Handles a Karnataka LLP?
Every LLP with its registered office in Karnataka falls under the Registrar of Companies, Bangalore ('E' Wing, 2nd Floor, Kendriya Sadana, Koramangala, Bengaluru – 560034), whichever district the office is in. The February 2026 ROC restructuring did not change Karnataka's jurisdiction. All filings are made online through the MCA portal, so a visit to the ROC office is normally not required.

Stamp duty on the LLP agreement: Article 40-A, Karnataka Stamp Act, 1957, as amended by the Karnataka Stamp (Amendment) Act, 2023 |
₹5,000 where the LLP's capital does not exceed ₹10 lakh. Above ₹10 lakh, ₹5,000 plus ₹1,000 for every ₹5 lakh or part thereof exceeding ₹10 lakh, subject to a maximum of ₹25 lakh. Paid by e-stamp; the same rate applies across Karnataka |
Package prices cover our professional fees and the items listed in each package (including DSCs where listed). Government fees and stamp duty are charged separately at actuals, and GST applies to the package price.
Example: two partners, ₹1 lakh total contribution, Essential package. Government and state charges are ₹200 (RUN-LLP) + ₹500 (FiLLiP) + ₹50 (Form 3) + ₹5,000 (Karnataka stamp duty) = ₹5,750, in addition to the ₹6,022 package price + GST. The example assumes these contribution bands; DSCs and name-reservation work are already within the Essential package.
Stamp duty for larger capital: with ₹20 lakh capital, the duty is ₹5,000 + (2 × ₹1,000) = ₹7,000. With ₹12 lakh, the ₹2 lakh excess counts as one ₹5 lakh part, so the duty is ₹6,000.
Why the stamp amount matters: an LLP agreement stamped below the correct duty can be impounded and may attract a penalty if it is ever produced as evidence. Older templates and calculators that still show the pre-amendment rate (₹1,000 up to ₹10 lakh, plus ₹500 per ₹5 lakh) should not be used.

What to Settle in Your LLP Agreement
Partner disputes almost always come from clauses left vague on day one. Agree these in writing before you stamp the agreement:
- Each partner’s contribution and the profit and loss ratio
- Who can sign cheques and contracts, and the limit on their authority
- Remuneration and interest on capital for working partners
- What happens when a partner retires, exits or dies, and how the payout is calculated
- How deadlocks are broken when partners disagree
Since stamp duty is based on declared capital, fix the contribution figures first and then buy the e-stamp.
Annual Compliance for LLPs
|
Compliance |
Due date |
Notes |
|
30 May |
Larger LLPs (contribution above ₹50 lakh or turnover above ₹5 crore) need CS certification. |
|
|
30 October |
Under Rule 24(8) of the LLP Rules, an LLP is exempt from statutory audit if its turnover does not exceed ₹40 lakh or its contribution does not exceed ₹25 lakh. So the requirement applies only when both thresholds are exceeded. An LLP may also opt for a voluntary audit. Income-tax audit under Section 44AB is a separate test. |
|
|
The income-tax due date that applies |
Depends on tax-audit and transfer-pricing status. |
|
|
DIN KYC (DIR-3 KYC Web) |
Once every three consecutive financial years, by 30 June of the applicable year |
Applies to every DIN holder, including designated partners. It is not an annual filing; a separate update is required when specified personal details change |
|
Event-based MCA filings |
Form 3, Form 4 and Form 15 within 30 days of the change |
These filings apply even if the LLP has no business in the year. Late filing attracts additional MCA fees that rise with the length of delay, with lower multiples for small LLPs. For a managed plan, see our LLP annual filing.

LLP or Traditional Partnership Firm?
A partnership firm is cheaper to start and has lighter filing, but every partner carries unlimited personal liability for the firm’s debts, including those caused by another partner’s decisions. An LLP costs a little more to maintain because Form 11 and Form 8 are due every year, but it is a separate legal entity, limits each partner’s exposure to their contribution (apart from their own wrongful acts) and continues even if a partner leaves. Banks, landlords and larger clients also tend to treat an LLP as more credible.
Why Karnataka Founders Choose Kanakkupillai for LLP Registration?
- Stamp duty worked out before you pay. We calculate the Article 40-A amount on your capital first, so you don’t under-stamp and risk impounding.
- Address proof checked before filing. We match the electricity bill, lease and NOC so MCA has less reason to send the application back.
- Online from Bengaluru to Kalaburagi. DSC, filing and signing happen remotely.
- One team after registration. GST, professional tax, annual LLP filings and income-tax returns stay with the same people.
