Private limited company registration in Delhi
Pvt Ltd company registration in Delhi is completed online through MCA's SPICe+ form, and Delhi founders get an advantage available nowhere else: Shops & Establishments registration is requested in the same incorporation filing. You need two directors and two shareholders (the same two people can hold both roles), an address within the National Capital Territory, and no minimum capital. From DSCs to the Certificate of Incorporation, the work takes typically 7–10 working days, subject to MCA processing.
Our Chartered Accountants and Company Secretaries serve Delhi founders entirely online from our corporate office in Adambakkam, Chennai. We talk you through each form in Hindi or English, and in Tamil, Telugu, Malayalam or Kannada if you prefer.

What is a private limited company?
Under the Companies Act, 2013, a private limited company is a legal person in its own right. It owns assets, enters contracts and borrows in its own name, while the founders hold its shares. The company carries on when directors or shareholders change, and ownership passes by a transfer of shares rather than by re-forming the business.
It generally suits founders who expect outside investment, want to give equity to co-founders or employees, or sell to institutional and government buyers. Our main guide to private limited company registration explains the structure in more depth.
Benefits of a private limited company for Delhi businesses
Incorporating gives a Delhi business several practical strengths:
Equity for investors and early hires
A private limited company is the usual structure for equity rounds and ESOPs. Whether you are building a software product near Jasola or advising clients from Connaught Place, shares let you bring in investors and set aside an option pool.
A record that buyers can verify
Your CIN sits on MCA's public records, giving a large buyer's vendor team, a tender authority or a bank a reference to check. That helps a Karol Bagh trading firm applying to supply a corporate customer.
Protection for personal assets
Shareholders' liability is generally limited to the amount unpaid on their shares, though personal exposure can still arise in some situations, such as fraud or a personal guarantee.
Continuity for family businesses
A family enterprise in Rohini or Patparganj can move from one generation to the next through share transfers, while the company, its contracts and its bank relationships stay in place.
One fewer application at the start
Delhi is the only place where MCA's AGILE-PRO-S form covers Shops & Establishments registration, so your company begins with that registration requested alongside incorporation.
Tax and recognition options
A company may opt for the concessional tax regime (about 25.17% effective) under Section 200 of the Income-tax Act, 2025, earlier Section 115BAA. It can also seek Startup India (DPIIT) recognition, subject to the conditions.

Pvt Ltd company registration in Delhi: eligibility and documents
Who can form the company
Documents from the founders
Each Indian founder shares a PAN, which is compulsory, with one identity proof (Aadhaar, voter ID, passport or driving licence) and one residence proof dated within the last 2 months, such as a bank statement or a utility or mobile bill. A photograph, an email address and a mobile number complete the set.
NRI and foreign founders generally provide a passport and address proof notarised and apostilled in their home country, or consularised where that country is outside the Hague Convention exact requirements depend on the founder's country and status. A company subscribing as a shareholder sends its apostilled certificate of incorporation, a board resolution and its signatory's details.
Papers for the Delhi registered office
A name check we do first
A founder's IDs can disagree when a father's name has been entered as the surname on only one of them. A PAN might read "Neha Kumari" while the passport shows "Neha Satish", her father's first name sitting in the surname field. Differences like this can get DSC and SPICe+ applications returned, so we reconcile the IDs, or record why they differ, before the DSC application goes in.
If you would like your KYC reviewed before you begin, our team can go through it with you on a free consultation, in Hindi or English.
How to register a private limited company in Delhi: step by step
Settle the structure and the address. We agree on the business activity, shareholding, authorised capital and the exact Delhi address, which tells us whether Delhi-I or Delhi-II will be your Registrar.
Issue the DSCs. Each director's DSC follows a video or Aadhaar check.
Reserve the name in SPICe+ Part A. Details are in the next section.
Prepare SPICe+ Part B (INC-32). We draft the e-MoA (INC-33), e-AoA (INC-34), the DIR-2 and INC-9 declarations, and AGILE-PRO-S (INC-35). DINs, PAN and TAN are applied for in this form. For a Delhi company, AGILE-PRO-S also carries the Shops & Establishments request, alongside the EPFO and ESIC registrations, the bank account and an optional GSTIN.
Sign and pay online. Directors e-sign with their DSCs, and the government fees are paid electronically with the filing.
Receive the certificate. MCA's Central Registration Centre (CRC) examines the application and issues the Certificate of Incorporation, showing the CIN, PAN and TAN. After that, your jurisdictional ROC handles later filings, changes and notices.
| Step | Indicative working days |
|---|---|
| DSCs issued to the directors | 1–2 |
| Name reserved through Part A | 1–3 |
| Part B drafted and submitted | 1–2 |
| CRC scrutiny until the certificate | 3–5 |
| Overall, as some steps overlap | 7–10 |
These are indicative stage times, not an MCA commitment MCA's processing decides the final date.
For a closer look at how these stages fit together, read our article on the process and timeline for registering a private limited company in Delhi.
Getting your company name approved
Part A accepts up to two proposed names with one resubmission. Once approved, a name stays reserved for 20 days, the window in which Part B must be filed. MCA usually refuses a name that resembles an existing company, LLP or registered trademark, uses restricted words such as Bank, Insurance, National or Board without approval, does not fit the main objects, or is offensive or suggests a government link.
You can check company name availability before we speak we then search MCA and trademark records for every name on your shortlist. Our guide to the common reasons MCA rejects company names and applications shows how to keep a file from coming back.
Online private limited company registration in Delhi
Every stage of a Delhi incorporation can be completed from your own desk, whether that is in Dwarka, Janakpuri or Kalkaji. Our CA/CS team serves Delhi founders fully online from Chennai we keep no Delhi office because the process does not call for one.
DSC identity checks happen by video or Aadhaar, documents travel as scans, and each form is signed electronically. Neither the incorporation nor the Shops & Establishments registration needs a counter visit: SPICe+ is an online form, and the Labour Department issues S&E registration online without a physical inspection.
We explain each form in Hindi or English, and in Tamil, Telugu, Malayalam or Kannada too. Book a free consultation and we will walk you through the documents for your company in whichever of these you prefer.
ROC Delhi-I or Delhi-II: which one registers your company
Delhi now has two Registrars of Companies. MCA notification S.O. 698(E) of 10 February 2026, effective from 16 February 2026, sets the districts each one covers for adjudication, and we confirm the Registrar for your exact address at filing. MCA's CRC processes the incorporation itself the Registrar for your district then holds your company's records and handles its later filings, changes, notices and adjudication.
| Registrar | Districts covered |
|---|---|
| ROC NCT of Delhi-I | South Delhi, South West Delhi, New Delhi, South East Delhi and East Delhi |
| ROC NCT of Delhi-II | Central Delhi, West Delhi, North Delhi, North West Delhi, North East Delhi and Shahdara |
Some familiar business addresses, mapped to their Registrar:
| Address area | District | Registrar |
|---|---|---|
| Connaught Place and the NDMC area | New Delhi | Delhi-I |
| Dwarka, Mahipalpur and the Aerocity belt | South West Delhi | Delhi-I |
| Hauz Khas, Malviya Nagar and Mehrauli | South Delhi | Delhi-I |
| Okhla village, Jasola and Kalkaji | South East Delhi | Delhi-I |
| Patparganj and Karkardooma | East Delhi (border localities confirmed at filing) | Delhi-I |
| Rajouri Garden and Janakpuri | West Delhi | Delhi-II |
| Karol Bagh and Patel Nagar | Central Delhi | Delhi-II |
| Rohini | North West Delhi | Delhi-II |
| Shahdara | Shahdara (within North East Delhi after the December 2025 reorganisation) | Delhi-II |
Delhi's revenue districts were reorganised in December 2025, so for some addresses the ROC is worth confirming at filing we check it for your exact address. The Delhi Gazette notification of 25 December 2025 set up 13 revenue areas and 39 sub-divisions, and three of the new areas (Old Delhi, Central North and Outer North) are not named in the ROC notification.
| Contact detail | ROC Delhi-I (Nehru Place) | ROC Delhi-II (Khan Market) |
|---|---|---|
| Address | 4th Floor, IFCI Tower, 61, Nehru Place, New Delhi 110019 | 8th Floor, Lok Nayak Bhawan, Khan Market, New Delhi 110003 |
| Phone | 011-26235703 | Not listed by MCA contact by email |
| roc.delhi@mca.gov.in | roc.delhicentral@mca.gov.in | |
| Regional Director | Northern Region | Northern Region |
These details are taken from the MCA ROC contact page.
A later shift of the registered office between a Delhi-I district and a Delhi-II district generally needs Regional Director confirmation under Section 12(5), through Form INC-23. Settling the address before filing saves that step.

After incorporation: registrations for a Delhi company
Delhi takes one registration off your list at incorporation. What follows depends on what your company does and where it trades.
Shops & Establishments
Here Delhi is ahead. MCA's SPICe+ guidance lists Delhi as the only place where AGILE-PRO-S covers Shops & Establishments registration, so a new Delhi company gets its registration under the Delhi Shops and Establishments Act, 1954 through the incorporation filing. The Labour Department's own process is online at labourcis.nic.in, free of cost and issued in real time, with no physical inspection. For any help on that portal, our shop and establishment licence team can step in.
MCD and NDMC trade licences
Since 2022, a single Municipal Corporation of Delhi (MCD) has replaced the three earlier corporations. Within MCD jurisdiction, Section 417 of the Delhi Municipal Corporation Act, 1957 makes a General Trade/Storage Licence mandatory for the traders and establishments it covers, and the application is made online. A separate Health Trade Licence applies where a trade falls under public health rules.
Premises in the NDMC area take their licences under the NDMC Act, 1994, and Delhi Cantonment is a separate local area. Whether your company needs any of these depends on its activity. We review that with you and arrange the trade licence where one applies.
Professional tax, EPFO and ESIC
MCA's SPICe+ offers professional tax registration only for Maharashtra, Karnataka and West Bengal, so it is not part of a Delhi incorporation filing. If you plan to hire early, the EPFO and ESIC registrations are requested through AGILE-PRO-S with incorporation the contributions themselves begin only when those laws apply to your business.
GST (state code 07), IEC and Udyam
Every Delhi GSTIN begins with 07. A company registers within 30 days of becoming liable, while one making inter-state taxable supplies of goods, which includes exporting goods, generally registers from the start under Section 24 of the CGST Act, subject to limited notified exemptions (e.g. CBIC notification 08/2017-IT for handicraft goods 10/2017-IT covers services only). You can request a GSTIN in AGILE-PRO-S or apply afterwards our GST registration team handles either route.
A company that will import or export goods takes an Import Export Code from DGFT before its first shipment. Udyam (MSME) registration is free and online, and can help with priority lending, delayed-payment protection and tenders.
Your first 180 days
Open the company's bank account soon after the certificate arrives, and have the shareholders deposit their subscription money. Within 30 days, the board holds its first meeting under Section 173(1) and appoints the first auditor under Section 139(6). Share certificates are due within 2 months under Section 56(4). INC-20A, declaring that the subscription money has been received, must be filed within 180 days under Section 10A. Our article on post-incorporation compliances takes you through each one.
Tell us what your company will sell, store or provide, and we will list the Delhi registrations that apply to it.
Delhi, Gurugram or Noida: choosing your registered office in the NCR
Founders exploring private limited company registration in Delhi NCR are really choosing between three jurisdictions, and the registered office address settles which one applies. If your office will be in Gurugram or Noida, the company is registered with that state's ROC.
Choose the address where the company will genuinely receive its official mail and keep its records, rather than the one that looks most convenient on paper. Moving the registered office to another state later is a separate process. For a Haryana address, see our page on private limited company registration in Gurgaon for Ghaziabad, see private limited company registration in Ghaziabad for Noida or elsewhere in the state, see private limited company registration in Uttar Pradesh.
Government support for businesses in Delhi
The Delhi Udyog Mitra Portal (sws.delhi.gov.in) is the Delhi government's single-window portal for businesses, and a useful place to begin once your company is incorporated.
The Delhi Start-up Policy was released in draft for comments in August 2025 check its current status on the official portal before planning around it.
At the national level, an eligible new company can seek Startup India recognition from DPIIT, subject to its conditions we can plan this soon after incorporation.
Why Delhi founders choose Kanakkupillai
| What Delhi founders need | How we handle it |
|---|---|
| Clarity on Delhi-I versus Delhi-II | We check the exact address, including areas affected by the December 2025 reorganisation |
| S&E without a separate application | We include it in AGILE-PRO-S with your SPICe+ filing |
| A clean first filing | MCA and trademark searches on every name, plus KYC checks for name mismatches |
| Conversations in Hindi | Hindi and English, with Tamil, Telugu, Malayalam and Kannada also available |
| Help after the certificate | MCD licence review, GST, INC-20A and annual filings |
| No travel | Everything handled online from our Chennai office |
Example: two cousins choosing between Rajouri Garden and a Gurugram co-working desk
The situation: Two cousins plan a company selling handmade brass décor online, with stock kept at a family-owned property in Rajouri Garden. One of them works in Gurugram and suggests registering the company at a co-working space there instead.
What we plan together:
The address sets the Registrar
Rajouri Garden is in West Delhi, so a company registered there comes under ROC Delhi-II a Gurugram address would place it with Haryana's ROC.
S&E in the same filing, if they choose Delhi
With the Rajouri Garden address, Shops & Establishments registration is requested through AGILE-PRO-S along with incorporation.
A licence check for the stock
Because goods will be stored at the property, we review whether the activity needs an MCD General Trade/Storage Licence and apply online if it does.
What the founders do: They pick the address with these points in hand, share their KYC, the owner's NOC and the property's electricity bill, verify their DSCs by video and sign every form online, talking to our team in Hindi throughout.

Frequently Asked Questions
How long does pvt ltd company registration in Delhi take?
Usually between 7 and 10 working days, though MCA's processing time can vary. Every SPICe+ file is examined at the CRC, so an office in Dwarka moves at the same pace as one in Rohini. A refused name or founder IDs that do not match can slow an application, so we check both before filing.Which ROC will my Delhi company come under?
It depends on the district of the registered office. ROC Delhi-I covers South, South West, New Delhi, South East and East Delhi. ROC Delhi-II covers Central, West, North, North West, North East Delhi and Shahdara. As revenue districts were reorganised in December 2025, we confirm the Registrar for your exact address. What are the pvt ltd company registration fees in Delhi?
The government charges are ₹1,000 for the name reservation application (up to two proposed names), and no MCA filing fee while authorised capital stays within 15 lakh. PAN and TAN are included in the SPICe+ payment. DSCs and our professional fee are additional. Is Shops & Establishments registration included when I incorporate in Delhi?
Yes. Delhi is the only place where AGILE-PRO-S, filed with SPICe+, covers Shops & Establishments registration, so a new Delhi company obtains it through the incorporation filing. The Labour Department's registration is online, free and issued in real time, with no physical inspection.Does my Delhi company need an MCD trade licence?
It depends on the activity. Within MCD jurisdiction, a General Trade/Storage Licence is mandatory for the traders and establishments covered by Section 417 of the DMC Act, 1957, and a Health Trade Licence applies to trades under public health rules. The NDMC area and Delhi Cantonment have their own arrangements. We review your activity and tell you what applies. What makes Us Different
