Pvt Ltd Registration in Maharashtra
Private limited company registration in Maharashtra is filed online through MCA's SPICe+ form and takes typically 7–10 working days, subject to MCA processing. At least two people must act as directors and two as shareholders, though one pair of founders can fill both roles, and no minimum capital is prescribed.
Two features set Maharashtra apart. Four Registrars of Companies share the state, so your district decides your ROC. And professional tax registration can be requested inside the incorporation filing, which only three states allow.
Our CA/CS team handles Maharashtra incorporations fully online from Chennai, in Hindi or English.

What is a private limited company?
Under the Companies Act, 2013, a private limited company is a legal person distinct from its founders: its capital is divided into shares, it owns assets and contracts in its own name, and it continues whoever joins or leaves. Shareholders' liability is generally limited to the amount unpaid on their shares, though personal exposure can still arise in some situations, such as fraud or a personal guarantee.
Solo founders without funding plans sometimes begin with an OPC or LLP. This page covers the Pvt Ltd route, and our national guide to private limited company registration explains each stage in more depth.
Benefits of a private limited company for Maharashtra businesses
Ownership investors understand
Shares make it easy to divide ownership between, say, a founder in Pune and one in Mumbai, and equity rounds and ESOPs are normally built on this structure.
A record others can verify
The company's CIN is on public MCA records, so a buyer's vendor team, a tender authority or a bank can look it up first.
Continuity for family businesses
Perpetual succession lets a Nashik or Jalgaon family firm pass to the next generation by share transfer, while its assets and contracts stay with the company.
More done in one filing
Besides the EPFO, ESIC, bank account and optional GST requests every company files with SPICe+, a Maharashtra company can also request professional tax registration in the same filing.

Pvt Ltd company registration in Maharashtra: eligibility and documents
Who can incorporate
Founder documents
Registered office proof in Maharashtra
- A recent bill from your distribution licensee (BEST, Tata Power, Adani Electricity or MSEDCL, depending on your area), no older than 2 months.
- The owner's no-objection certificate.
- For rented premises, a leave and licence agreement, which Section 55 of the Maharashtra Rent Control Act, 1999 requires to be registered. Registration is the landlord's responsibility, and IGR Maharashtra offers it online.
Write each name the same way everywhere
Many Maharashtrian names include the father's or husband's name in the middle, so "Snehal Prakash Kulkarni" on Aadhaar may read "Snehal Kulkarni" on PAN. In our experience, such differences can get DSC and SPICe+ applications returned, so we compare every founder's records before applying.
How to register a private limited company in Maharashtra: step by step
Plan the basics: directors, shareholding, authorised capital, business activity and the registered office district, which settles your ROC.
Get the signatures ready. After a video or Aadhaar-based identity check, every director receives a digital signature certificate.
Reserve the name through SPICe+ Part A, explained below.
File SPICe+ Part B (INC-32), bundling the e-MoA (INC-33), e-AoA (INC-34), AGILE-PRO-S (INC-35) and the DIR-2 and INC-9 declarations. DINs for a limited number of first directors, PAN, TAN and, for a Maharashtra company, professional tax registration can all be requested here.
Authorise and pay: each director signs with the DSC, and the MCA fees are paid online.
Certificate issued: once MCA's Central Registration Centre (CRC) has reviewed the file, the Certificate of Incorporation follows, showing the CIN, PAN and TAN.
| Stage | Time it usually takes |
|---|---|
| Directors' DSCs issued | 1–2 working days |
| Name cleared in Part A | 1–3 working days |
| Part B forms drafted and submitted | 1–2 working days |
| From CRC review to certificate | 3–5 working days |
| In total | 7–10 working days, with some stages overlapping |
These are indicative stage times, not an MCA commitment; MCA's processing decides the final date.
Getting the company name approved
Part A accepts up to two proposed names and one resubmission. Approval holds the name for 20 days, which is the window for filing Part B.
Names are generally refused if they are too close to a registered company, LLP or trademark, do not reflect the main objects, could offend or suggest government backing, or use restricted words such as National, Board, Bank or Insurance without approval. You can check company name availability on our search tool, and before filing our team tests every shortlisted option against MCA and trademark records.
Online private limited company registration in Maharashtra
Every step of a Maharashtra incorporation can be completed online, and that is how our CA/CS team works with founders across the state from our corporate office in Adambakkam, Chennai. We have no office in Maharashtra, and none is needed: DSC identity checks happen by video or Aadhaar, documents come in as scans, and each form is e-signed.
We explain each form in Hindi or English.
Which ROC registers your Maharashtra company: Mumbai-I, Mumbai-II, Pune or Nagpur
MCA's Central Registration Centre (CRC) examines every incorporation application. Afterwards, the Registrar of Companies for your registered office district handles annual filings, changes, notices and adjudication. Maharashtra has four Registrars of Companies. MCA notification S.O. 698(E) of 10 February 2026, effective 16 February 2026, sets the districts each one covers for adjudication, and we confirm the Registrar for your exact address at filing:
| ROC | Districts |
|---|---|
| ROC Mumbai-I | Mumbai and Mumbai Suburban |
| ROC Mumbai-II | Aurangabad, Dhule, Jalgaon, Nandurbar, Nashik, Palghar, Raigad and Thane |
| ROC Pune | Pune, Ahmednagar, Kolhapur, Solapur, Satara, Sangli, Ratnagiri and Sindhudurg |
| ROC Nagpur | The remaining districts, including Nagpur |
| ROC | Address | Phone | |
|---|---|---|---|
| Mumbai-I | 100, Everest, Marine Drive, Mumbai 400002 | 022-22812627 | roc.mumbai@mca.gov.in |
| Mumbai-II | 100, Everest, Marine Drive, Mumbai 400002 | 022-22812627 | roc.navimumbai@mca.gov.in |
| Pune | Sheti Mahamandal Bhavan, 1st Floor, 270, Bhamburda, Senapati Bapat Road, Pune 411016 | 020-27651375 | roc.pune@mca.gov.in |
| Nagpur | New Secretariat Building, 2nd Floor, East Wing, Civil Lines, Nagpur 440001 | Not listed by MCA; contact by email | roc.nagpur@mca.gov.in |
MCA lists the Regional Director for all four Maharashtra ROCs as Western Region. Mumbai-I and Mumbai-II share the Marine Drive address but use different email IDs, so write to the one covering your district. These details come from the MCA ROC contact page.

After incorporation: registrations for a Maharashtra company
Professional tax: PTRC and PTEC
Professional tax in Maharashtra is levied under the Maharashtra State Tax on Professions, Trades, Callings and Employments Act, 1975. A company generally holds a PTRC, to deduct PT from salaries and pay it to the state, and a PTEC, the enrolment for its own tax. Both are available online on mahagst.gov.in and through MAITRI with no registration fee, and professional tax registration can also be requested with incorporation through AGILE-PRO-S.
Employee slabs (MahaGST schedule, from 1 April 2023):
| Monthly salary (₹) | PT for men (₹) | PT for women (₹) |
|---|---|---|
| Up to 7,500 | Nil | Nil |
| 7,501 to 10,000 | 175 a month | Nil |
| 10,001 to 25,000 | 2,500 a year (200 a month, 300 in February) | Nil |
| Above 25,000 | 2,500 a year (200 a month, 300 in February) | Same as men |
Separately, the company pays ₹2,500 a year as its own professional tax (Entry 18), and each director is liable for the same amount (Entry 5). Our professional tax registration team can handle either route.
Shops & Establishments: registration or intimation within 60 days
Under the Maharashtra Shops and Establishments (Regulation of Employment and Conditions of Service) Act, 2017, an establishment registers or files an online intimation with the Facilitator within 60 days of starting business; which of the two applies depends on the number of workers. In Mumbai, this is done on the BMC (MCGM) portal at no fee, with the certificate or receipt emailed; elsewhere, through the state Labour Management System (lms.mahaonline.gov.in). It sits outside SPICe+ in Maharashtra, and our shop and establishment licence team can file it.
GST (27), IEC and Udyam
First 180 days
Each deadline is explained in our note on post-incorporation compliances; from the first year, we can also manage your annual compliance for private limited companies.
Government support for startups and businesses in Maharashtra
The Maharashtra State Innovation Society (MSInS) is the state's nodal agency for innovation-driven entrepreneurship, and MAITRI is its single-window portal. Programme terms change, so check the official portals for current eligibility before applying.
At national level, a newly formed company may apply for Startup India recognition with DPIIT once it meets the scheme's conditions.
Private limited company registration across Maharashtra
The filing is the same statewide; the ROC and some local steps differ.
Mumbai
ROC Mumbai-I; see our page on private limited company registration in Mumbai for BMC licensing and other city detail.
Thane and Navi Mumbai
ROC Mumbai-II, whichever of Thane or Raigad district a Navi Mumbai address falls in.
Pune and Pimpri-Chinchwad
Both come under ROC Pune, whose office is on Senapati Bapat Road; see our page on private limited company registration in Pune, and we also have a page for founders in Pimpri-Chinchwad.
Nashik
ROC Mumbai-II rather than Pune, which matters when co-founders are split between the two cities and must choose one registered office.
Nagpur
ROC Nagpur, which also covers the districts not listed under the other three.
Jalgaon
ROC Mumbai-II, alongside Dhule and Nandurbar. Founders in Jalgaon can read our dedicated page.
Every other district, from Ratnagiri to Palghar, follows the same online route.
Why Maharashtra founders choose Kanakkupillai
Your ROC mapped to your district before filing: Mumbai-I, Mumbai-II, Pune or Nagpur
Authorised capital sized to your first share issue
Professional tax requested inside SPICe+ where your hiring plans call for it
Name searches and founder KYC checks before DSCs are applied for
Fully online, in Hindi or English, with Tamil, Telugu, Malayalam and Kannada also available
Example: a Nashik food-products company with a co-founder in Pune
The situation: Two founders plan a packaged-foods company sourcing produce from growers around Nashik. One lives in Nashik, where they will rent a small processing unit; the other, in Pune, will lead sales. They expect to hire in year one.
What we plan together:
The ROC
A registered office at the Nashik unit puts the company under ROC Mumbai-II; a Pune address would mean ROC Pune. As a later shift between them needs Regional Director confirmation, the founders choose before filing.
Capital
Authorised capital is set at what the two will subscribe at the start, with room to increase it later.
Registrations alongside incorporation
Professional tax registration is requested through AGILE-PRO-S, with EPFO and ESIC registration in the same form, and Shops & Establishments registration or intimation is planned within 60 days of starting business.
What the founders do: share PAN, Aadhaar, address proof and the unit's papers (electricity bill, owner's NOC and registered leave and licence agreement), verify DSCs by video from Nashik and Pune, and e-sign every form.

Frequently Asked Questions
How does pvt ltd company registration in Maharashtra work?

The name is reserved through SPICe+ Part A, then Part B goes in carrying the e-MoA, e-AoA and AGILE-PRO-S, where Maharashtra companies can also request professional tax registration. MCA fees are paid online, and MCA's CRC issues the certificate with the CIN, PAN and TAN, generally within 7 to 10 working days depending on MCA.What are the pvt ltd company registration fees in Maharashtra?
The name fee is ₹1,000 for each SPICe+ Part A application, covering up to two proposed names. MCA charges no filing fee while authorised capital is ₹15 lakh or less. PAN and TAN are included in the SPICe+ payment, and DSCs and our professional fee are extra.Which ROC will my Maharashtra company come under?
It depends on the district of the registered office. Mumbai-I covers Mumbai and Mumbai Suburban; Mumbai-II covers Aurangabad, Dhule, Jalgaon, Nandurbar, Nashik, Palghar, Raigad and Thane; Pune covers Pune, Ahmednagar, Kolhapur, Solapur, Satara, Sangli, Ratnagiri and Sindhudurg; and Nagpur covers the remaining districts, including Nagpur. Can professional tax registration be done along with incorporation in Maharashtra?
Yes. Maharashtra is one of three states where AGILE-PRO-S, filed with SPICe+, covers professional tax registration. A company can also apply for PTRC and PTEC separately on mahagst.gov.in or through MAITRI, with no registration fee. Shops & Establishments registration is not part of SPICe+ in Maharashtra and is handled separately. What are the professional tax slabs in Maharashtra?

For women, salaries up to 25,000 a month attract nil, and above that the same 2,500 a year applies. The company and each director also pay 2,500 a year.Does a leave and licence agreement for the registered office need to be registered?
Yes. Section 55 of the Maharashtra Rent Control Act, 1999 requires leave and licence agreements to be registered, and the landlord is responsible for doing so. IGR Maharashtra offers online e-registration. For a rented registered office, we ask for the registered agreement along with a recent electricity bill and the owner's NOC.When does a new Maharashtra company need Shops & Establishments registration?
Within 60 days of starting business, an establishment either registers or files an online intimation with the Facilitator, depending on its number of workers.
